CorePower Yoga Student Terms & Conditions

Effective Date: April 15, 2026

These CorePower Yoga Student Terms & Conditions (the “Student Terms & Conditions”) govern your participation in Activities as defined in the CorePower Yoga Terms of Use and include legal terms and disclaimers. All capitalized terms not otherwise defined herein shall have the same meaning as the CorePower Yoga Terms of Use, into which these Student Terms & Conditions are incorporated by reference.

If you participate in Activities at or through a studio operated by a CorePower Yoga franchisee, the franchisee may require you to execute additional agreements, documents, waivers, or releases. You acknowledge that the terms, conditions, and provisions of any such additional items only supplement (and do not modify or vary) these Student Terms & Conditions or the CorePower Yoga Terms of Use. In the event of any conflict (as determined by CorePower Yoga, LLC in its sole discretion) between these Student Terms & Conditions and/or the CorePower Yoga Terms of Use and such items, these Student Terms & Conditions and CorePower Yoga Terms of Use shall control. Ask your studio if there are any such supplementary items.

PLEASE READ THE FOLLOWING TERMS CAREFULLY BEFORE YOU USE OR ACCESS THE SERVICES OR ANY OF THE PRODUCTS OR ENGAGE IN ACTIVITIES THAT ARE AVAILABLE ON OR THROUGH THE SERVICES, AS THESE STUDENT TERMS & CONDITIONS AFFECT YOUR LEGAL RIGHTS.

These Student Terms & Conditions include an Arbitration Agreement, which will govern any dispute between you and us. Unless you opt out as described below, this Arbitration Agreement will:

Eliminate your right to a trial by jury; and Substantially affect your rights, including preventing you from bringing, joining, or participating in class, representative, or consolidated proceedings.

Canadian Residents Only: Laws of certain provinces of Canada limit or prohibit required arbitration and waivers of class actions; accordingly, the Arbitration Agreement is limited or restricted, if at all, for applicable Canadian residents to the extent of applicable Canadian laws.

Your Acceptance of These Student Terms & Conditions

By engaging in Activities, you are agreeing to comply with and be bound by these Student Terms & Conditions. If you do not agree to these Student Terms & Conditions, you may not access, use, or participate in the Activities.

These Student Terms & Conditions May Change

CorePower Yoga reserves the right to modify or add to these Student Terms & Conditions at any time, effective as of the posting of the new or revised Student Terms & Conditions or a later date as may be specified in the new or revised Student Terms & Conditions. You agree that we may notify you of the new or revised Student Terms & Conditions by making them available via the Services, and that your use of the Services after the effective date of the new or revised Student Terms & Conditions (or engaging in such other conduct as we may reasonably specify) constitutes your agreement to the new or revised Student Terms & Conditions. We therefore encourage you to review these Student Terms & Conditions every time you use the Services. We may also provide notice to you of any update to these Student Terms & Conditions in other ways in our discretion, such as through contact information you have provided, all in accordance with applicable laws and our Privacy Policy.

Your Compliance with CorePower Yoga Rules and Directions

By participating in Activities, you agree to observe all rules and directions of CorePower Yoga and the locations (in-studio, in person, online or otherwise) at which Activities take place (“Rules”). We reserve the right to take any action that we deem appropriate in the exercise of our discretion, including but not limited to suspension or termination of your privilege to participate in Activities, for violation of CorePower Rules and directions.

I. COREPOWER YOGA AUTO-RENEWING MEMBERSHIP PROGRAMS

A. ALL ACCESS MEMBERSHIP PROGRAM TERMS AND CONDITIONS

The All Access Membership Program (the “All Access Program”) is a program of CorePower Yoga. The All Access Program was previously known as the Black Tag Member Program. The All Access Program is designed to offer benefits to CorePower Yoga members who commit to a monthly autopay membership. In connection with changing the name of the program from Black Tag Member Program to the All Access Program, CorePower Yoga expanded the program to offer digital content benefits to All Access Program members as described below. The terms and conditions of the All Access Program (the “All Access Program Rules”) are as follows:

NOTE: Certain CorePower Yoga franchisees may continue to offer the legacy Black Tag Member Program in lieu of the All Access Program or as an option to the All Access Program, which program is limited to in-studio participation only; see “Studio Membership Program Terms and Conditions” below for more information about the Studio Member Program, and membership terms, conditions, limitations, and restrictions.

1. All Access Program Eligible Participants; Enrollment; Continuing Eligibility

Eligible participants in the All Access Program are individuals aged sixteen (16) years and older who enroll for a monthly autopay CorePower Yoga membership using a valid debit or credit card and maintain on file a valid debit or credit card for charges described below. As part of enrollment or continued membership, any other required membership documents, agreements, and waivers must also be completed and submitted, including any All Access Program forms. To continue to be eligible in the All Access Program, the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times, including, without limitation, by not freezing or canceling as described in Section I.H.2. below, or changing the participant’s CorePower Yoga membership, or allowing the participant’s CorePower Yoga membership to be terminated or lapse, and by continually maintaining payment by autopay for participant’s monthly membership fees. Once All Access Program eligibility ceases, a member may not take advantage of All Access Program benefits. The monthly membership rate shall be based on the location of the studio at which the member signs up and subject to any applicable promotions or discounts. CorePower Yoga reserves the right to change the monthly membership rate from time to time, subject to any applicable discounts or promotions. CorePower Yoga also reserves the right to adjust the member’s rate to the then-current monthly membership rate of the billing zip code associated with the member’s credit card on file if that rate differs from the applicable rate at the studio at which the member signed up or in the event the member relocates to a geography on a different price structure from the member’s original home studio, subject to any discounts or promotions the member was subject to at the time of inception of the membership.

2. Benefits of the All Access Program

As of the date of these All Access Program Rules, the standard benefits of the All Access Program are as follows:

a. Unlimited Yoga; Monthly Fee; Surcharges. Unlimited participation in open yoga classes at any CorePower Yoga studio, subject to class size and availability. CorePower Yoga’s reservation policy is set forth at https://www.corepoweryoga.com/content/help-center?category=1kMJdJtKnEvJ8nkKj6Qfpu&subcategory=MlDn3t3lFomFj71NpyrQI&faq=7mle8U1Lzs6dDayKlkNLmB. The All Access Program membership fee is a monthly fee. All Access Program membership fees for online membership purchases are set forth at https://www.corepoweryoga.com/content/membership-benefits. . For non-online purchases, inquire with your studio as to other available membership fees and discounts, if any. Membership fees may vary by studio and markets. Members’ membership fees are subject to change after enrollment. Membership fees are subject to applicable taxes, assessments and, as described below, CorePower Yoga surcharges. All Access Membership is nontransferable. Charges are nonrefundable, unless otherwise required by applicable law. Certain markets have per visit surcharges associated with visiting member studio use which are in addition to a member’s normal monthly membership fee; if you visit a studio that is not your home studio, please ask them about any market surcharge policies they have, or contact us at https://www.corepoweryoga.com/content/contact-us for more information. CorePower Yoga reserves the right to make changes to the type or quantity of classes or equipment offered.

b. Digital Programs. Unlimited participation in open CorePower Live (subject to class size availability) and Yoga on Demand classes.

c. Retail Discount. A fifteen percent (15%) discount on any retail merchandise purchase at any CorePower Yoga studio, subject to any restrictions imposed by applicable distributors or manufacturers. Discount does not apply to taxes or other assessments.

d. Special Offers. Special classes and offers that may be offered from time to time by CorePower Yoga locations for All Access Program members.

e. Teacher Training Program Discount. A discount on Teacher Training Programs. The percentage discount may vary. Enrollment in and admission to Teacher Training programs requires completion and submission of the then-current form of Enrollment Agreement and any other materials provided by CorePower Yoga, and acceptance into a program by CorePower Yoga.

f. Buddy Pass. Two Buddy Passes per billing cycle to provide family and friends with the opportunity to participate with the member in eligible CorePower Yoga classes at participating CorePower Yoga studios; subject to the CorePower Yoga Buddy Pass Program Terms and Conditions.

h. Workshops. A discount on Workshops that require a fee to participate. The percentage discount may vary.

3. Restrictions

All Access Program benefits are nontransferable and may only be used by the applicable member, and only so long as the individual is in good standing with CorePower Yoga. All Access Program benefits have no cash value and are not redeemable for cash or any substitute. All Access Program benefits cannot be combined with any other offer, coupon, or promotion, including any other promotional offers available to All Access Program participants through the All Access Program. All Access Program benefits cannot be applied to a prior purchase.

B. Founding All Access Membership Program- Additional Terms and Conditions

Founding All Access Membership Program (“Founding All Access Program”) is a special category of the All Access Program available only to new members of a newly opening CorePower Yoga studio who respond to an offer from CorePower Yoga to enroll in the All Access Program with a discounted monthly membership fee of twenty-five percent (25%) off the then-CorePower Yoga-designated monthly fee of the All Access Program for such market. The Founding All Access Program was previously known as the Founding Black Tag Member Program. Members are subject to the general All Access Program Rules, and additional terms and conditions below:

1. Discounted Membership Fee. The Founding All Access Program is a discounted monthly fee as set forth in the invitation for the applicable new studio. Membership freezes and cancellations are subject to the terms described in All Access Program benefits above. There is no activation fee and no minimum commitment. Prices are subject to applicable taxes, assessments and, as described above, CorePower Yoga surcharges. Membership is nontransferable.

2. Eligibility. Eligible participants in the Founding All Access Program are individuals who (a) have not had in the two (2) months prior to requesting enrollment in a Founding All Access Program membership at the applicable new CorePower Yoga studio any of the following: (i) a CorePower Yoga All Access Program membership of any kind, (ii) a Studio membership, a (iii) Black Tag or Founding Black Tag membership of any kind, or (iv) any other form of monthly membership (excluding Yoga on Demand or At Home memberships), (b) enroll for a monthly autopay CorePower Yoga membership using a valid debit or credit card for a new, to-be-opened, CorePower Yoga studio at which memberships for such studio are offered by CorePower Yoga, (c) are residents of the city in which the CorePower Yoga studio is located, and (d) are at least sixteen (16) years of age. As part of enrollment, all required membership documents, agreements and waivers must also be completed and submitted, including any All Access Program or Founding All Access Program forms. Enrollment for Founding All Access Program membership for a new studio begins at the time CorePower Yoga begins publicly distributing invitations for such new studio and ends at the communicated promotion close date for the new studio. To continue to be eligible for the Founding All Access Program membership, the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times, including, without limitation, by not terminating or changing the participant’s CorePower Yoga membership, or allowing the participant’s CorePower Yoga membership to be terminated, canceled or lapse, and by continually maintaining payment by autopay for participant’s monthly membership fees. Once eligibility ceases, a member will no longer have the Founding All Access Program membership or other All Access Program benefits. The monthly membership rate shall be based on then-current Founding All Access Program monthly rate associated with the studio at which the member signs up and subject to any applicable promotions or discounts. CorePower Yoga reserves the right to change the monthly membership rate from time to time, subject to any applicable discounts or promotions. CorePower Yoga also reserves the right to adjust the member’s rate in the event the member relocates, subject to any discounts or promotions the member was subject to at the time of inception of the membership.

C. STUDIO EXPERIENCE TEAM (SET) DISCOUNTED ALL ACCESS MEMBERSHIP PROGRAM TERMS AND CONDITIONS

The Studio Experience Team (“SET”) Discounted All Access Membership Program (the “SET Membership Program”) is a program of CorePower Yoga. The SET Membership Program is designed to offer benefits to certain CorePower Yoga members who commit to a monthly autopay membership. The terms and conditions of the SET Membership Program (the “SET Membership Program Rules”) are as follows:

1. SET Membership Program Eligible Participants; Enrollment; Continuing Eligibility

Eligible participants in the SET Membership Program are individuals who are hired by CorePower Yoga as a Studio Experience Team employee on or after August 14, 2023, and who enroll for a monthly autopay CorePower Yoga membership using a valid debit or credit card and maintain on file a valid debit or credit card for charges described below. As part of enrollment or continued membership, any other required membership documents, agreements, and waivers must also be completed and submitted, including any SET Membership Program forms. To continue to be eligible in the SET Membership Program, The individual must be an active Studio Experience Team employee in good standing, which includes adhering to the SET time and attendance policies, and the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times, including, without limitation, by not freezing or canceling as described in Section I.H.2. below, or changing the participant’s CorePower Yoga membership, or allowing the participant’s CorePower Yoga membership to be terminated or lapse, and by continually maintaining payment by autopay for participant’s monthly membership fees. Once SET Membership Program eligibility ceases, a member may not take advantage of SET Membership Program benefits. The monthly membership rate shall be based on the location of the studio at which the member signs up and subject to any applicable promotions or discounts. CorePower Yoga reserves the right to change the monthly membership rate from time to time, subject to any applicable discounts or promotions. CorePower Yoga also reserves the right to adjust the member’s rate to the then-current monthly membership rate of the billing zip code associated with the member’s credit card on file if that rate differs from the applicable rate at the studio at which the member signed up or in the event the member relocates to a geography on a different price structure from the member’s original home studio, subject to any discounts or promotions the member was subject to at the time of inception of the membership.

2. Benefits of the SET Membership Program

As of the date of these SET Membership Program Rules, the standard benefits of the SET Membership Program are as follows:

a. Unlimited Yoga; Monthly Fee; Surcharges. Unlimited participation in open yoga classes at any CorePower Yoga studio, subject to class size and availability. CorePower Yoga’s reservation policy is set forth at https://www.corepoweryoga.com/content/help-center?category=1kMJdJtKnEvJ8nkKj6Qfpu. The SET Membership Program membership fee is a monthly fee. SET Membership Program membership fees for online membership purchases are set forth at https://www.corepoweryoga.com/content/membership-benefits. For non-online purchases, inquire with your studio as to other available membership fees and discounts, if any. Membership fees may vary by studio and markets. Members’ membership fees are subject to change after enrollment. Membership fees are subject to applicable taxes, assessments and, as described below, CorePower Yoga surcharges. SET Membership is nontransferable. Charges are nonrefundable, unless otherwise required by applicable law. Certain markets have per visit surcharges associated with visiting member studio use which are in addition to a member’s normal monthly membership fee; if you visit a studio that is not your home studio, please ask them about any market surcharge policies they have, or contact us at https://www.corepoweryoga.com/content/contact-us for more information. c. Retail Discount. A thirty percent (30%) discount on any retail merchandise purchase at any CorePower Yoga studio, subject to any restrictions imposed by applicable distributors or manufacturers. Discount does not apply to taxes or other assessments.

d. Special Offers. Special classes and offers that may be offered from time to time by CorePower Yoga locations for SET Membership Program members.

e. Teacher Training Program Discount. A discount on Teacher Training Programs. The percentage discount may vary. Enrollment in and admission to Teacher Training programs requires completion and submission of the then-current form of Enrollment Agreement and any other materials provided by CorePower Yoga, and acceptance into a program by CorePower Yoga.

SET Membership Program benefits are nontransferable and may only be used by the applicable member, and only so long as the individual is in good standing with CorePower Yoga and a current Studio Experience Team employee hired on or after August 14, 2023. SET Membership Program benefits have no cash value and are not redeemable for cash or any substitute. SET Membership Program benefits cannot be combined with any other offer, coupon, or promotion, including any other promotional offers available to SET Membership Program participants through the SET Membership Program. SET Membership Program benefits cannot be applied to a prior purchase.

D. LIMITED VISIT MEMBERSHIP PROGRAM TERMS AND CONDITIONS

The Limited Visit Membership Program (“Limited Visit Program”) is a program of CorePower Yoga also referred to as either “Studio Pass 8 Visits Per Month,” “Studio Pass 6 Visits Per Month” or “Studio Pass 4 Visits Per Month” and is available in select markets only. The terms and conditions of the Limited Visit Program (the “Limited Visit Program Rules”) are as follows:

1. Limited Visit Program Eligible Participants; Enrollment

Eligible participants in the Limited Visit Program are individuals who enroll for a monthly autopay CorePower Yoga membership using a valid debit or credit card and maintain on file a valid debit or credit card for charges described below. As part of enrollment or continued membership, any other required membership documents, agreements, and waivers must also be completed and submitted, including any Limited Visit Program forms. To continue to be eligible in the Limited Visit Program, the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times, including without limitation, by not cancelling, or changing the participant’s CorePower Yoga membership (other than changes between limited visit categories within the Limited Visit Program), or allowing the participant’s CorePower Yoga membership to be terminated or lapse, and by continually maintaining payment by autopay for participant’s monthly membership fees. Once Limited Visit Program eligibility ceases, a member may not take advantage of Limited Visit Program benefits. The monthly membership rate shall be based on the location of the studio at which the member signs up and subject to any applicable promotions or discounts. CorePower Yoga reserves the right to change the monthly membership rate and purchased studio class rates from time to time, subject to any applicable discounts or promotions. A member’s Limited Visit Membership may only be used at the CorePower Yoga studio associated with the member’s membership (which is the member’s home studio). To practice at a CorePower Yoga studio other than a member’s home studio, a member must purchase a purchased studio class at the then current purchase studio class rate as offered at the studio the member wishes to visit, subject to any applicable promotions or discounts.

2. Benefits of the Limited Visit Program

As of the date of these Limited Visit Program Rules, the standard benefits of the Limited Visit Program are as follows:

a. Limited Visits; Monthly Fee. The Limited Visit Program allows a member to visit the participating CorePower Yoga studio associated with the member’s membership only and participate in open yoga classes, subject to class size and availability, up to four (4) times per month (a “Studio Pass – 4 Visits”) or up to eight (8) times per month (a “Studio Pass - 8 Visits”), based on the visitation category enrolled in by a member. Unused visits for a month do not carry forward to subsequent months and are forfeited, for which no consideration will be given or credited (for example, if a Limited Visit Program member with a Studio Pass - 8 Visits membership only uses the member’s membership to visit the member’s home studio five (5) times during a month, the remaining three (3) visits will be forfeited and not carry forward to the next month). For visits to a member’s home studio in excess of the applicable fixed limit for the member’s Limited Visit Program category, a member will be offered a fifty percent (50%) discounted purchased studio class rate as offered by the member’s home studio for each additional individual class. CorePower Yoga’s reservation policy is set forth at https://www.corepoweryoga.com/content/help-center?category=1kMJdJtKnEvJ8nkKj6Qfpu. The Limited Visit Program membership fee is a monthly fee. For non-online purchases, inquire with your studio as to other available membership fees and discounts, if any. Membership fees may vary by studio and markets. Members’ membership fees are subject to change after enrollment. Membership fees are subject to applicable taxes and assessments. Limited Vistor Membership is nontransferable. Charges are nonrefundable, except as required by law. CorePower Yoga reserves the right to make changes to the type or quantity of classes or equipment offered.

b. Retail Discount. A ten percent (10%) discount on any retail merchandise purchase at any CorePower Yoga studio, subject to any restrictions imposed by applicable distributors or manufacturers. Discount does not apply to taxes or other assessments.

c. Special Offers. Special classes and offers that may be offered from time to time by CorePower Yoga locations for Limited Visit Program members.

d. Teacher Training Program Discount. A discount on Teacher Training Programs. The percentage discount may vary. Enrollment in and admission to Teacher Training programs requires completion and submission of the then-current form of Enrollment Agreement and any other materials provided by CorePower Yoga, and acceptance into a program by CorePower Yoga.

3. Restrictions. Limited Visit Program benefits are nontransferable and may only be used by the applicable member at the member’s home studio, and only so long as the individual is in good standing with CorePower Yoga. Limited Visit Program benefits have no cash value and are not redeemable for cash or any substitute. Limited Visit Program benefits cannot be combined with any other offer, coupon, or promotion, including any other promotional offers available to Limited Visit Program participants through the Limited Visit Program. Limited Visit Program benefits cannot be applied to a prior purchase. Limited Visit Program membership use is only available at your home studio in select markets. Limited Visit Membership Program memberships are not eligible for freezes as described in Section I.H.2.

E. At Home Member Program Terms and Conditions

The At Home Member Program (the “At Home Program”) is a program of CorePower Yoga. The At Home Program offers members unlimited participation in open CorePower Live (subject to class size availability) and Yoga on Demand classes. The At Home Program membership fee is a monthly fee. At Home Program membership fees for online membership purchases are set forth at https://www.corepoweryoga.com/content/at-home-membership. For non-online purchases, inquire with your studio as to membership fees and discounts, if any. Members’ membership fees are subject to change after enrollment. Membership fees are subject to applicable taxes and assessments. At Home Membership is nontransferable. Chargesare nonrefundable unless otherwise required by applicable law. The terms and conditions of the At Home Program are as follows:

1. Eligible Participants; Enrollment; Continuing Eligibility

Eligible participants in the At Home Program are individuals who enroll for a monthly autopay CorePower Yoga membership using a valid debit or credit card. As part of enrollment or continued membership, any other required membership documents, agreements, and waivers must also be completed and submitted, including any At Home Program forms. To continue to be eligible for the At Home Program, the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times. This includes, without limitation, the participant’s not terminating or changing the participant’s CorePower Yoga membership, not allowing the participant’s CorePower Yoga membership to be terminated or lapse and maintaining payment by autopay for the participant’s monthly membership fees. Once At Home eligibility ceases, a member may not take advantage of At Home Program benefits.

2. Restrictions

At Home Program benefits are nontransferable and may only be used by the applicable member, and only so long as the individual is in good standing with CorePower Yoga. All At Home Program benefits have no cash value and are not redeemable for cash or any substitute. All At Home Program benefits cannot be combined with any other offer, coupon, or promotion, including any other promotional offers available to At Home Program participants through the At Home Program. At Home Program benefits cannot be applied to a prior purchase.

F. Studio Membership Program Terms and Conditions

Certain CorePower Yoga franchisees may continue to offer the legacy Black Tag Member Program (which for such franchisee purposes has been rebranded and is now known as the “Studio Program”) in lieu of the All Access Program or as an option to the All Access Program. The Studio Program is a legacy program of CorePower Yoga and is offered as a convenience for certain CorePower Yoga franchisees approved by CorePower Yoga to continue to offer the Studio Program, but there is no guarantee that the Studio Program will continue for any specified period of time, and CorePower Yoga reserves the right at any time, and from time to time, to discontinue offerings of the Studio Program by any or all such franchisees, and require conversion to the All Access Program (including any increases in a member’s monthly fee). The Studio Program is designed to offer benefits to CorePower Yoga members who commit to a monthly autopay membership; however, the Studio Program is limited to in-studio participation only and does not include participation in any digital programs offered by CorePower Yoga (including, without limitation, CorePower Live and Yoga on Demand). The Studio Program may also be subject to further terms, conditions, restrictions, and limitations specified by CorePower Yoga from time to time, including limitations and restrictions on benefits that are intended only for members of the All Access Program and not members of the Studio Program. Subject to the foregoing, these Student Terms & Conditions, including specifically the All Access Program Rules, apply to the Studio Program (and membership), as if the program (and membership) was the All Access Program, including, as applicable, the Founding All Access Program with respect to Founding Studio Program membership. G. Studio Pass Unlimited Membership Program Terms and Conditions

The Studio Pass Unlimited Membership Program (“Studio Pass Unlimited Program”) is a program of CorePower Yoga and branded as “Studio Pass Unlimited” and is available in select markets only. The terms and conditions of the Studio Pass Unlimited Program (the “Studio Pass Unlimited Program Rules”) are as follows:

1. Studio Pass Unlimited Eligible Participants; Enrollment

Eligible participants in the Studio Pass Unlimited Program are individuals who enroll for a monthly autopay CorePower Yoga membership using a valid debit or credit card and maintain on file a valid debit or credit card for charges described below. As part of enrollment or continued membership, any other required membership documents, agreements, and waivers must also be completed and submitted, including any Studio Pass Unlimited Program forms. To continue to be eligible in the Studio Pass Unlimited Program, the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times, including without limitation, by not cancelling, or changing the participant’s CorePower Yoga membership, or allowing the participant’s CorePower Yoga membership to be terminated or lapse, and by continually maintaining payment by autopay for participant’s monthly membership fees. Once Studio Pass Unlimited Program eligibility ceases, a member may not take advantage of Studio Pass Unlimited Program benefits. The monthly membership rate shall be based on the location of the studio at which the member signs up to visit and is subject to any applicable promotions or discounts. CorePower Yoga reserves the right to change the monthly membership rate and purchased studio class rates from time to time, subject to any applicable discounts or promotions. A member’s Studio Pass Unlimited Membership may only be used at the CorePower Yoga studio associated with the member’s membership (which is the member’s home studio). To practice at a CorePower Yoga studio other than a member’s home studio, a member must purchase a purchased studio class at the then current purchase studio class rate as offered at the studio the member wishes to visit, subject to any applicable promotions or discounts.

2. Benefits of the Studio Pass Unlimited Program

As of the date of these Studio Pass Unlimited Program Rules, the standard benefits of the Studio Pass Unlimited Program are as follows:

a. Unlimited Visits to Home Studio; Monthly Fee. The Studio Pass Unlimited Program allows a member to visit the participating CorePower Yoga studio associated with the member’s membership only and participate in an unlimited number of open yoga classes, subject to class size and availability. CorePower Yoga’s reservation policy is set forth at https://www.corepoweryoga.com/content/help-center?category=1kMJdJtKnEvJ8nkKj6Qfpu. The Studio Pass Unlimited Program membership fee is a monthly fee. For non-online purchases, inquire with your studio as to other available membership fees and discounts, if any. Membership fees may vary by studio and markets. Members’ membership fees are subject to change after enrollment. Membership fees are subject to applicable taxes and assessments. Studio Pass Unlimited Membership is nontransferable. Charges are nonrefundable, unless otherwise required by applicable law. CorePower Yoga reserves the right to make changes to the type or quantity of classes or equipment offered.

b. Retail Discount. A ten percent (10%) discount on any retail merchandise purchase at any CorePower Yoga studio, subject to any restrictions imposed by applicable distributors or manufacturers. Discount does not apply to taxes or other assessments.

c. Special Offers. Special classes and offers that may be offered from time to time by CorePower Yoga locations for Studio Pass Unlimited Program members.

d. Teacher Training Program Discount. A discount on Teacher Training Programs. The percentage discount may vary. Enrollment in and admission to Teacher Training programs requires completion and submission of the then-current form of Enrollment Agreement and any other materials provided by CorePower Yoga, and acceptance into a program by CorePower Yoga.

3. Restrictions. Studio Pass Unlimited Program benefits are nontransferable and may only be used by the applicable member at the member’s home studio, and only so long as the individual is in good standing with CorePower Yoga. Studio Pass Unlimited Program benefits have no cash value and are not redeemable for cash or any substitute. Limited Visit Program benefits cannot be combined with any other offer, coupon, or promotion, including any other promotional offers available to Studio Pass Unlimited Program participants through the Studio Pass Unlimited Program. Studio Pass Unlimited Program benefits cannot be applied to a prior purchase. Studio Pass Unlimited Program membership use is only available at your home studio. Studio Pass Unlimited Membership Program memberships are not eligible for freezes as described in Section I.H.2.

H. Auto-Renewal Agreement Terms and Member Card Charge Authorization

1. Monthly Programs.

All Access Program, Founding All Access Program, Studio Experience Team Discounted All Access Membership Program, Limited Visit Program, At Home Program, and Studio Pass Unlimited Program (each a “Monthly Program”) are all monthly auto-renewing memberships. CorePower Yoga reserves the right to create additional monthly programs in the future. You understand that your Monthly Program membership will continue to renew monthly until you properly freeze (for applicable Monthly Programs) or cancel your membership (as described in “Freezes and Cancellations” below). You understand that you will be expected to pay any and all fees and charges associated with your account that are outstanding when your account is frozen or canceled.

You authorize CorePower Yoga, LLC, its franchisees, and their respective third-party payment processor(s) to charge your debit or credit card on a monthly basis for the price of your Monthly Program membership, and for any other fees and charges as and when incurred by you in using your CorePower Yoga membership, or CorePower Yoga products, services, or facilities, including without limitation, all reservation and late cancel/no show fees. Changes to this authorization agreement by CorePower Yoga will be reflected in any changes to this Auto-Renewal Agreement Terms and Member Card Charge Authorization. We will notify you of any changes to these Auto-Renewal Terms and Member Card Charge Authorization via email to the email address associated with your account.

2. Freezes, Cancellations and Terminations

a. Freezes. An eligible Monthly Program member may freeze the member’s Monthly Program membership (other than Limited Visit Program and Studio Pass Unlimited memberships, which are not freeze eligible and may only be cancelled as set forth in Section I.H.2.b) for up to a maximum of 90 days (in 30 day increments) per 12-month period, with the 12-month period measured starting on the first day of the first freeze in the 12-month period. In the event the member is pregnant or deployed to active military duty, CorePower Yoga may permit a member to freeze a membership for longer than 90 days and may request information reasonable to verify deployment or pregnancy. When a member freezes an eligible membership, the member must pay a nonrefundable fee (“Freeze Fee”) of $15 per 30 day freeze period (a “Freeze Month”) for each Freeze Month but will not be obligated to pay the CorePower Yoga Monthly Program membership fee for any such Freeze Month(s). During the Freeze Month(s), the member will not receive any Monthly Program or other CorePower Yoga benefits (including, without limitation, access to Yoga On Demand and CorePower Live), but will maintain the member’s Monthly Program rate, subject to ordinary adjustments to rates that CorePower Yoga reserves the right to make from time to time. You may freeze your Monthly Program membership by going to your dashboard and clicking “My Membership” then clicking “Freeze Membership” at https://www.corepoweryoga.com/profile/account/my-membership. The freeze will take effect immediately. Your Monthly Program and CorePower Yoga benefits will reinstate automatically once the freeze has ended. You may also unfreeze your Monthly Program membership by going to your account and clicking “My Membership” then clicking “Unfreeze Membership” at https://www.corepoweryoga.com/profile/account/my-membership. CorePower Yoga does not provide a refund for the Freeze Fee in the event that you unfreeze your membership before a Freeze Month ends. Your unfrozen membership will be subject to the Auto-Renewal Agreement Terms and previously provided Member Card Charge Authorization described above in “Auto-Renewal Agreement Terms and Member Card Charge Authorization.” After the freeze ends, the billing cycle for your membership will be adjusted by the number of days remaining in your original monthly membership period as of the date of the freeze and your card on file will next be billed on a date which is the date the freeze ends plus the number of days remaining in your paid membership month prior to the freeze. CorePower Yoga does not prorate months of membership, does not provide refunds or credits for any partial month, and does not freeze accounts for less-than-30-day increments. To cancel your membership during a freeze, you must unfreeze your Monthly Membership by going to your dashboard and clicking “My Membership” then clicking “Unfreeze Membership” at https://www.corepoweryoga.com/profile/account/my-membership and then cancel the Monthly Membership as set forth in Section I.H.2.b.

b. Cancellation.

i. You may cancel your membership in a Monthly Program at any time prior to midnight on the fifth (5th) business day after the date you enroll and your membership invoice is created, excluding Sundays and holidays. Upon cancellation, you will receive a pro rata refund within 10 days after we receive notice of cancellation, except that you must pay for any services used prior to cancellation. You may also have a right to immediate cancellation in specific circumstances, including in the event of death or disability or other circumstances as required by law. Please submit a request to our Customer Experience team here.

ii. In all other circumstances not set forth in the prior subsection, you have the right to cancel your membership:

(1) For a Monthly Program membership (other than a Limited Visit Program or Studio Pass Unlimited Program) at any time for any reason with 30 days’ notice to us, with notice effective on the business day following the day that you notify us of cancellation, in which event your membership and access to Monthly Program Enrollment and benefits will terminate effective 30 days after the effective date of your notice of cancellation to us.

(2) For a frozen Monthly Program membership, at any time for any reason with 30 days’ notice to us, by unfreezing and canceling your membership at https://www.corepoweryoga.com/profile/account/my-membership. When you unfreeze and then cancel a Monthly Program membership, your membership and benefits will reinstate when you unfreeze for a period of time equal to the number of days remaining in your paid membership month prior to the freeze (“Post-Freeze Paid Days”) plus the number of days necessary to equal 30 days, which is the required cancellation notice period (“Additional Cancellation Period Days”). You will be charged for these Additional Cancellation Period Days on or after a date which is the date of the unfreezing of your membership plus the number of Post-Freeze Paid Days.

(3) For a Limited Visit Program or Studio Pass Unlimited Membership Program, at any time for any reason by providing notice to us prior to the monthly renewal date of your membership, in which event your membership and access to Limited Visit Program or Studio Pass Unlimited benefits will terminate effective at the end of your billing cycle.

To cancel your Monthly Program membership, go to your dashboard and click “My Membership” then click “Cancel Membership” or call 1-833-448-2561.

c. Termination by CorePower. CorePower Yoga may terminate your membership in a Monthly Program and/or in purchased studio classes, in its sole discretion, if (1) you fail to make timely payments; (2) your method of payment is canceled, interrupted or discontinued for any reason and you do not provide an acceptable alternative; (3) you fail to follow policies posted by CorePower Yoga in studio or online or instructions given by a CorePower Yoga instructor or other employee; or (4) you engage in conduct that CorePower Yoga deems to be detrimental, harmful or inappropriate to yourself, a fellow student, employee of CorePower Yoga or CorePower Yoga or (5) in the case of SET Program Membership, you fail to adhere to the SET employees time and attendance policy or have separated from employment.

d. Rejoining. If you cancel your membership in a Monthly Program and wish to become a member again, you must re-enroll for a then-existing membership program at the applicable CorePower Yoga Monthly Program membership rates, subject to any applicable terms, conditions, limitations, and restrictions. If CorePower Yoga exercises its right to terminate your membership in a Monthly Program and/or in purchased studio classes, CorePower Yoga reserves the right to refuse a request to rejoin.

I. Additional Card Charge Authorization

In addition to the member card charge authorizations for memberships elsewhere in these Student Terms & Conditions (if applicable), you understand, whether or not you are a member, you may also be separately asked to provide a valid debit or credit card to keep on file with CorePower Yoga for future transactions. By providing your debit or credit card in response to such inquiry, you authorize CorePower Yoga, LLC, its franchisees, and their respective third-party payment processor(s) to charge your debit or credit card for any fees and charges as and when incurred by you in using CorePower Yoga products, services, or facilities, including without limitation all mat rental or other charges, reservation, and late cancel/no show fees. Changes to this authorization agreement by CorePower Yoga will be reflected in any changes to this Additional Card Charge Authorization.

J. Other Offers

CorePower Yoga may also offer any Monthly Program through specific and/or restricted portals or methods (for example, specific CorePower Yoga social media sites), and offer different, additional and/or modified benefits, terms and conditions for participants accepting through such portals or methods. CorePower Yoga reserves the right to condition eligibility for such offers to participants utilizing such portal/method to accept or respond to such offer. For such additional eligibility requirements and, if applicable, different, additional and/or modified benefits, consult the terms of the specific offer. The foregoing actions may be taken even though such actions may affect benefits in any Monthly Program or your participation therein.

K. COMMITTED MEMBERSHIP PROGRAM TERMS AND CONDITIONS

The Committed Membership Program (the “Committed Membership Program”) is a program of CorePower Yoga. The Committed Membership Program is designed to offer benefits to CorePower Yoga members who commit to a six- or twelve- month membership at a fixed price paid monthly through the term of the membership. The Committed Membership will automatically convert upon expiration into an All Access Membership monthly autopay membership. The Committed Membership Program is offered only by participating studios.

The terms and conditions of the Committed Membership Program (the “Committed Membership Program Rules”) are as follows:

1. Committed Membership Program Eligible Participants; Enrollment; Continuing Eligibility

Eligible participants in the Committed Membership Program are individuals aged sixteen (16) years and older who enroll for a six or twelve month CorePower Yoga membership using a valid debit or credit card and maintain on file a valid debit or credit card for charges described below. As part of enrollment or continued membership, any other required membership documents, agreements, and waivers must also be completed and submitted, including any Committed Membership Program forms. To continue to be eligible in the Committed Membership Program, the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times, including, without limitation, by not canceling as described in Section ______ below, early termination as described in Section ____ below, or changing the participant’s CorePower Yoga membership, and by continually maintaining payment by autopay for participant’s Committed Membership membership fees. Once Committed Membership Program eligibility ceases, a member may not take advantage of Committed Membership Program benefits. The Committed Membership price shall be based on the location of the participating studio at which the member signs up and subject to any applicable promotions or discounts. A Committed Membership cannot be frozen.

2. Benefits of the Committed Membership Program

As of the date of these Committed Membership Program Rules, the standard benefits of the Committed Membership Program are as follows:

a. Unlimited Yoga; Monthly Fee; Surcharges. Unlimited participation in open yoga classes at any CorePower Yoga studio, subject to class size and availability. CorePower Yoga’s reservation policy is set forth at https://www.corepoweryoga.com/content/help-center?category=1kMJdJtKnEvJ8nkKj6Qfpu&subcategory=MlDn3t3lFomFj71NpyrQI&faq=7mle8U1Lzs6dDayKlkNLmB. The Committed Membership Program membership fee is for a six or twelve month membership, paid monthly. Committed Membership Program participating studios and membership fees for online membership purchases are set forth at https://www.corepoweryoga.com/content/buy. For non-online purchases, inquire with your studio as to other available membership fees and discounts, if any. Membership fees may vary by studio and markets. Membership fees are subject to applicable taxes, assessments and, as described below, CorePower Yoga surcharges. Committed Membership is nontransferable. Charges are nonrefundable, unless otherwise required by applicable law. Certain markets have per visit surcharges associated with visiting member studio use which are in addition to a member’s Committed Membership membership fee; if you visit a studio that is not your home studio, please ask them about any market surcharge policies they have, or contact us at https://www.corepoweryoga.com/content/contact-us for more information. CorePower Yoga reserves the right to make changes to the type or quantity of classes or equipment offered.

b. Digital Programs. Unlimited participation in open CorePower Live (subject to class size availability) and Yoga on Demand classes.

c. Retail Discount. A fifteen percent (15%) discount on any retail merchandise purchase at any CorePower Yoga studio, subject to any restrictions imposed by applicable distributors or manufacturers. Discount does not apply to taxes or other assessments.

d. Special Offers. Special classes and offers that may be offered from time to time by CorePower Yoga locations for All Access Program members.

e. Teacher Training Program Discount. A discount on Teacher Training Programs. The percentage discount may vary. Enrollment in and admission to Teacher Training programs requires completion and submission of the then-current form of Enrollment Agreement and any other materials provided by CorePower Yoga, and acceptance into a program by CorePower Yoga.

f. Buddy Pass. Two Buddy Passes per billing cycle to provide family and friends with the opportunity to participate with the member in eligible CorePower Yoga classes at participating CorePower Yoga studios; subject to the CorePower Yoga Buddy Pass Program Terms and Conditions.

h. Workshops. A discount on Workshops that require a fee to participate. The percentage discount may vary.

3. Restrictions

Committed Membership Program benefits are nontransferable and may only be used by the applicable member, and only so long as the individual is in good standing with CorePower Yoga. Committed Membership Program benefits have no cash value and are not redeemable for cash or any substitute. Committed Membership Program benefits cannot be combined with any other offer, coupon, or promotion, including any other promotional offers available to Committed Membership Program participants through the Committed Membership Program. Committed Membership member benefits cannot be applied to a prior purchase.

4. Member Card Charge Authorization for Committed Membership Program

Your Committed Membership Program membership is a 6 or 12 month membership with automatic monthly installment payments for the duration of the membership. You understand that you will be expected to pay any and all fees and charges associated with your account that are outstanding when your account is canceled or terminated early except as required by law.

You authorize CorePower Yoga, LLC, its franchisees, and their respective third-party payment processor(s) to charge your debit or credit card on a monthly basis for the price of your Committed Membership Program membership, and for any other fees and charges as and when incurred by you in using your CorePower Yoga membership, or CorePower Yoga products, services, or facilities, including without limitation, all reservation and late cancel/no show fees. Changes to this authorization agreement by CorePower Yoga will be reflected in any changes to this Auto-Renewal Agreement Terms and Member Card Charge Authorization. We will notify you of any changes to these Auto-Renewal Terms and Member Card Charge Authorization via email to the email address associated with your account.

5. California Residents a. Cancellation. A Committed Membership may be cancelled by you only as set forth in this section. i. California Cancellation Period. You, the buyer, may choose to cancel this agreement at any time prior to midnight of the fifth business day of the health studio after the date of this agreement, excluding Sundays and holidays. For a Committed Membership that requires payment of less than $1,499, you shall have the right to cancel within 5 days after the contract is executed. For a Committed Membership that requires payment of one thousand five hundred dollars ($1,500) to two thousand dollars ($2,000), inclusive, including initiation fees or initial membership fees, you shall have the right to cancel the contract within 20 days after the contract is executed. For a Committed Membership that requires payment of two thousand one dollars ($2,001) to two thousand five hundred dollars ($2,500), inclusive, including initiation fees or initial membership fees, you shall have the right to cancel the contract within 30 days after the contract is executed. For a Committed Membership that requires payment of two thousand five hundred one dollars ($2,501) or more, including initiation fees or initial membership fees, you shall have the right to cancel the contract within 45 days after the contract is executed. The 5, 20, 30 or 45 day period is the “Initial Cancellation Period.” During the Initial Cancellation Period, you may cancel in person, via email at [email address] or via first-class mail to 3001 Brighton Blvd., Suite 269, Denver, CO 80216 or you may cancel by going to your dashboard and clicking “My Membership,” then clicking “Cancel Membership,” or by calling 1-833-448-2561. Following the “Initial Cancellation Period” and before your final billing cycle, you may cancel by going to your dashboard and clicking “My Membership,” then clicking “Cancel Membership,” or by calling 1-833-448-2561. ii. Upon cancellation, you shall be liable only for that portion of the total contract payment, including initiation fees and other charges however denominated, that has been available for use by you, based upon a pro rata calculation over the term of the contract. The remaining portion of the contract payment shall be returned to you by CorePower Yoga. Your Committed Membership Program benefits shall cease upon cancellation. b. Early Termination of Committed Membership by Member. If you terminate your six month Committed Membership after the Initial Cancellation Period and prior to your fifth payment, you shall be charged an early termination fee on the date of early termination equal to your monthly Committed Membership billed amount. If you cancel your twelve month Committed Membership after the Initial Cancellation Period and prior to your eleventh payment, you shall be charged an early termination fee on the date of early termination equal to two months of your monthly Committed Membership billed amount. The total charge for monthly membership plus the early termination fee shall not exceed the original total price of your Committed Membership. Your member benefits shall end at the end of your billing cycle. To terminate your Committed Membership after the initial cancellation period and before your final billing cycle, go to your dashboard and click “My Membership” then click “Cancel Membership” or call 1-833-448-2561. c. Cancellation for Elimination or Substantial Reduction of Scope of Facilities. If at any time during the term of Committed Membership, including a transfer of the contractual obligation, CorePower Yoga eliminates or substantially reduces the scope of the facilities available for use, the member may cancel the contract and receive a pro rata refund. The member may not cancel the contract pursuant to this subdivision if CorePower Yoga, after giving reasonable notice, temporarily takes facilities out of operation for reasonable repairs, modifications, substitutions, or improvements. d. Death or Disability. If you are unable to receive Committed Member Program benefits due to death or disability, you or your estate shall be relieved from the obligation of making payment for services other than those received prior to death or the onset of disability. If you have prepaid any sum for Committed Member Program services, you or your representative shall be refunded so much of such sum as is allocable to services you have not used at the time of your death or disability. “Disability” means a condition which precludes you from physically using the facilities and the condition is verified by a physician. e. Relocation. i. If you relocate more than 25 miles from a CorePower Yoga studio, you shall be relieved from the obligation of making payment further payment for services other than those received prior to the move. If you relocate during a billing cycle, so much of your monthly payment as is allocable to services you have not taken shall be promptly refunded. In such situation, CorePower Yoga reserves the right to charge you $100 or, if more than half the life of the Committed Membership has expired, $50. ii. If you relocate to New York prior to the expiration of your Committed Membership, notify CorePower Yoga by calling 1-833-448-2561. CorePower will offer you the option to purchase a New York Committed Membership at the then-current rate for a New York Committed Membership, subject to the terms and conditions for a New York Committed Membership, or a monthly All Access Membership subject to the terms and conditions for a New York All Access Membership at the then-current New York All Access Membership rate. 5. New York Residents a. Cancellation. i. YOU MAY CANCEL THIS CONTRACT WITHOUT ANY PENALTY OR FURTHER OBLIGATION WITHIN THREE (3) BUSINESS DAYS FROM THE DATE OF PURCHASE. Notice of cancellation shall be in writing and mailed by United States mail or electronic mail to CorePower Yoga Corporate Headquarters, 3001 Brighton Blvd., Suite 269, Denver, CO 80216. Phone: (866) 441-9642. Email: legal@corepoweryoga.com. All moneys paid pursuant to such contract shall be refunded within ten business days of receipt of such notice of cancellation. ii. ADDITIONAL RIGHTS TO CANCELLATION: You may also cancel your Committed Membership for any of the following reasons:

  1. If upon a doctor's order, you cannot physically receive the services because of significant physical disability for a period in excess of three months.

  2. If you die, your estate shall be relieved of any further obligation for payment under the contract not then due and owing.

  3. If you move your residence more than twenty-five miles from any studio operated by CorePower Yoga.

  4. If the services cease to be offered as stated in the contract.

iii. CorePower Yoga shall accept cancellation of a membership by the buyer or the buyer's estate, as provided in this section, no later than three business days after receiving notice of the cancellation. CorePower shall accept notice of cancellation of a membership through its website, electronic mail, telephone, mail, or in person. CorePower shall refund all moneys paid in the event of cancellation pursuant to this section within ten business days of receipt of the notice of cancellation provided however that the CorePower may retain the expenses incurred and the portion of the total price representing the services used or completed. b. Early Termination of Committed Membership by Member. If you terminate your six month Committed Membership after the cancellation period set forth in section (a)(ii) above but prior to your fifth payment, you shall be charged an early termination fee on the date of early termination equal to your monthly Committed Membership billed amount. If you cancel your twelve month Committed Membership after the cancellation period set forth in section (a)(ii) above and prior to your eleventh payment, you shall be charged an early termination fee on the date of early termination equal to two months of your monthly Committed Membership billed amount. The total charge for monthly membership plus the early termination fee shall not exceed the original total price of your Committed Membership. Your member benefits shall end at the end of your billing cycle. To terminate your Committed Membership after the initial cancellation period and before your final billing cycle, go to your dashboard and click “My Membership” then click “Cancel Membership” or call 1-833-448-2561.

c. Cancellation of AAM After Expiration of Committed Membership. For a committed membership that converts to AAM upon expiration, you may cancel the AAM within fifteen business days after the expiration of the twelve-month committed membership. In subsequent months, you may cancel your AAM within three business days after each monthly renewal so long as your home studio is located in New York. See Section II.A and H for applicable terms and conditions.

II. OTHER COREPOWER YOGA PROGRAMS & OFFERINGS

A. Purchased Studio Classes Terms and Conditions

If you are not a CorePower Yoga All Access Program or Studio Program member, you may purchase individual CorePower Yoga in-studio classes at https://www.corepoweryoga.com/content/membership-benefits or from a participating CorePower Yoga studio. In our various materials, we may refer to a class or classes as “drop-ins,” “purchased studio class/classes,” “in-studio class/classes,” “studio class/classes,” or simply “class/classes,” and to multiple classes available for purchase and storage in your account as a “class pack” or “class package”. CorePower Yoga may also make available studio classes on a promotional basis from time to time, on such additional or other terms and conditions applicable to the promotion, including discounted promotional prices. You must have a CorePower Yoga account to make a studio class purchase. If you do not have a membership or an account, you must create an account at www.corepoweryoga.com and then clicking on the My Profile avatar and pressing “Create Account.” Purchased classes will be reflected in your account and may be redeemed and used only at CorePower Yoga participating studios for eligible CorePower Yoga classes. Purchased classes are personal to the purchaser and are not assignable or transferrable. Purchased Classes are subject to restrictions, which may vary from time to time, including, without limitation, restrictions on use based on the location/studio at which a class is purchased and/or redeemed (for example, New York City studios only accept classes purchased from those studios). Purchased classes are nonrefundable unless otherwise required by applicable law. Purchased classes purchased before October 3, 2023 do not expire. Purchased classes purchased on or after October 3, 2023 will expire. The expiration date for a class purchased on or after such date will be shown at checkout before a purchase is made. Class expiration dates, if any, will be shown in your CorePower Yoga account for the applicable classes. Expiration dates vary as determined by CorePower Yoga based on the time of purchase, the number of classes purchased, and other factors determined by CorePower Yoga, including, if classes are purchased during any promotion. Expiration date periods begin from the date of class purchase and not from the date of first use.

B. CorePower Live Terms and Conditions

CorePower Live is a program of CorePower Yoga. CorePower Live offers CorePower Yoga members and nonmembers the opportunity to purchase and/or participate in live online CorePower Yoga classes. The terms and conditions of the CorePower Live program (the “CorePower Live Terms”) are as follows:

1. Create a CorePower Yoga Account

To register for CorePower Live classes, you can purchase an At Home Membership or CorePower Live class packs. Go to https://www.corepoweryoga.com/content/at-home-membership to create a CorePower Yoga account. To create a CorePower account, provide all required information and consents, including a valid email address and phone number then purchase an At Home Membership or CorePower Live class packs. You will need to review the applicable terms and conditions; You must be at least sixteen (16) years old to create a CorePower Live account and participate in CorePower Live.

2. Class Purchases and Registration

All Access Program and At Home Program members in good standing will have unlimited access to CorePower Live to register for individual CorePower Live classes, subject to class size availability; You may purchase individual CorePower Live classes at https://www.corepoweryoga.com/content/live-class-packs. If you are not a CorePower All Access Program or At Home Program member. CorePower Yoga may also make available CorePower Live classes on a promotional basis from time to time, on such additional or other terms and conditions applicable to the promotion. To register and pay for CorePower Live classes, follow the links and instructions at the CorePower Yoga Website. Required payments must be made at the CorePower Website using a CorePower Yoga account at the time of purchase with a valid debit or credit card; CorePower Yoga and/or CorePower Services LLC gift cards can be used to pay for CorePower Live class packs and CorePower studio class packs. Purchases are subject to applicable taxes and assessments. All purchases are nonrefundable unless otherwise required by applicable law. CorePower Live class credits are not transferrable, have no cash value, and do not expire. CorePower Live classes are separate from any other programs, classes, and other offerings of CorePower Yoga, including Yoga on Demand.

3. Class Access

After registration via CorePowerYoga.com, classes can be accessed via a ‘Join Now’ button on your dashboard, on your schedule page or your For You homepage on site and the MobileApp. CorePower Yoga reserves the right to class reminder notices prior to class start time. All CorePower Live classes must be purchased and registered in advance and are subject to class size availability. All registrations are with respect to specific scheduled CorePower Live classes. Class registration, and class access codes and passwords, are nontransferable. Internet compatible media player with available CorePower Live applications as specified by CorePower Yoga are required. CorePower Live classes are subject to normal Internet and application access and usage charges imposed by third parties.

4. Class Changes

A CorePower Live class for which a valid registration has been made may be changed by a participant only if a participant cancels the class registration on the CorePower YogaWebsite using the participant’s CorePower Yoga account before the scheduled start time for such class (cancellations after the scheduled start time for a class will not be recognized). If a purchased class is timely canceled by a participant, the participant will receive a CorePower Live class credit in the participant’s CorePower Yoga account which may be used to register for another available CorePower Live class. If notice of class cancellation is not timely sent, no CorePower Live class credit will be given. CorePower Live class credits have no cash value. CorePower Live credits are not awarded to CorePower Yoga members with free access (including All Access Program and At Home Program members).

Classes are live and not recorded, and CorePower Yoga reserves the right to cancel and reschedule classes for personnel, technical or other issues.

5. Termination

Upon termination of CorePower Live by CorePower Yoga, if a participant has an unexpired CorePower Live class credit in the participant’s CorePower Live account as of the effective date of termination of the program, CorePower Yoga reserves the right (but does not have the obligation) to convert any or all such credits to CorePower Yoga in-studio yoga class credits, at its discretion. Any such credits will not be transferrable and have no cash value.

6. Third Party Providers

CorePower Live classes are currently delivered by Zoom Video Communications, Inc. (“Zoom”), which is a third party that provides the Zoom application to CorePower Yoga. CorePower Yoga is not responsible or liable for any aspect of the Zoom application, or the operation or use thereof. See www.zoom.us for information regarding Zoom and the Zoom application. CorePower Yoga is not a party to any user agreement or terms and conditions between a participant and Zoom, including, without limitation, any Zoom privacy policy or Zoom terms of use, all of which are accepted by a participant prior to using Zoom. Zoom is solely responsible for all matters regarding the Zoom application, including, without limitation, application functionality, Zoom terms of service, and any claims that you may have related to the Zoom application or the operation or use thereof. CorePower Yoga reserves the right to change technology platforms from time to time without notice, and the foregoing shall apply to such substitute technology provider and platform substituting such provider’s name.

Use of the CorePower Live Website is subject to CorePower Yoga’s privacy policy located at https://www.corepoweryoga.com/content/privacy-policy and these Student Terms & Conditions.

Yoga On Demand is a program of CorePower Yoga. Yoga On Demand offers CorePower Yoga members and Yoga On Demand members the opportunity to participate in prerecorded, on demand, online video CorePower Yoga classes. The terms and conditions of the Yoga On Demand program (the “Yoga On Demand Terms”) are as follows:

1. Yoga On Demand Benefit for All Access and At Home Program Members

All Access Program members and At Home Program members in good standing will have unlimited access to Yoga On Demand during the terms of their respective memberships. Members can access Yoga On Demand through CorePower Yoga’s website or CorePower Yoga’s MobileApp. Individuals who are not an All Access Program or At Home Program member may separately register for Yoga On Demand by downloading the CorePower Yoga On Demand MobileApp and following the instructions to create a Yoga On Demand account and purchase a monthly Yoga On Demand subscription. If you are not an All Access Program or At Home Program Member and wish to purchase a Yoga on Demand subscription, provide all required information and consents, including a valid email address, complete or acknowledge a participant liability release, and any other forms, terms and conditions required by CorePower Yoga, and complete or acknowledge any additional forms, terms and conditions provided by CorePower Yoga’s third-party service provider. Currently due to the requirements of the third party provider for Yoga on Demand, a participant must be at least sixteen (16) years old to have a Yoga On Demand account and participate in Yoga On Demand.

2. Subscription Purchases

Separate purchases may be of monthly subscriptions to the Yoga on Demand online, on demand video library. Purchases and associated payments must be made through the CorePower Yoga On Demand MobileApp using a valid credit card; CorePower Yoga and/or CorePower Yoga Services LLC gift cards cannot be used to pay for Yoga On Demand subscriptions. Purchases are subject to applicable taxes and assessments. All purchases are nonrefundable unless otherwise required by applicable law. Yoga On Demand accounts and subscriptions are not transferrable and have no cash value. Yoga On Demand classes are separate from any other programs, classes, memberships, and other offerings of CorePower Yoga, including CorePower Live; provided, however, All Access Program and At Home Program members in good standing will have unlimited access to Yoga On Demand during the terms of their respective memberships. An Internet-compatible media player with available Yoga On Demand applications as specified by CorePower Yoga or its third party service provider are required. Use of Yoga on Demand is subject to normal Internet and application access and usage charges imposed by third parties. CorePower Yoga reserves the right to add, remove and modify available classes and content for any reason and at any time.

4. Third Party Providers

Yoga On Demand classes are currently delivered by Vimeo OTT Solutions, Inc. (“Vimeo”), which is a third party provider of the Vimeo online platform that allows Yoga on Demand users to view CorePower Yoga’s video programs. CorePower Yoga is not responsible or liable for any aspect of the Vimeo applications, or the operation or use thereof. See https://www.corepoweryogaondemand.com/tos for information regarding Vimeo and the Vimeo application. Vimeo also collects and processes payments for Yoga on Demand subscriptions. CorePower Yoga is not a party to any user agreement or terms and conditions between a participant and Vimeo, including, without limitation, any Vimeo privacy policy, Vimeo terms of use, or Vimeo payment and payment processing agreements, all of which are accepted by a participant prior to using Vimeo. III. ARBITRATION AGREEMENT AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND DISCOVERY PROCEDRUES AND APPELLATE RIGHTS ARE MORE LIMITED THAN IN COURT.

1. Disputes that Must be Arbitrated

This agreement to arbitrate applies to any Dispute between you and CorePower Yoga. “Dispute” means any dispute, claim, or controversy (excluding those exceptions listed below) between you and CorePower Yoga, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, that either of us seeks legal recourse for and that arises out of or in any way relates to your use or attempted use of the Activities, or the CorePower Yoga website or application (whether arising out of or relating to past, present, or future acts or omissions). Disputes that must be resolved by an arbitrator also include disputes over the validity, enforceability, or scope of this agreement to arbitrate or any portion of it.

The exceptions to this arbitration requirement are: (i) claims that can be brought as individual actions in small-claims court; (ii) pursuit of enforcement actions through a government agency if the law allows; (iii) an action to compel or uphold any prior arbitration decision; (iv) your or our right to seek injunctive relief in a court of law to preserve the status quo while an arbitration proceeds; (v) claims of intellectual-property infringement; (vi) the enforceability of the requirement that arbitrations must be conducted on an individual rather than a class basis; and (vii) certain roles expressly specified for courts in the terms below. Notwithstanding any other venue provision stated in these Terms of Use, we retain the right to bring legal proceedings in any jurisdiction where we believe that infringement of our intellectual property is taking place or originating.

2. Informal Resolution

If you have a Dispute against us or if we have a Dispute against you, we will attempt to resolve the Dispute informally before an arbitration is filed in order to resolve the Dispute faster and reduce costs for both parties. You and we will make a good-faith effort to negotiate the resolution of any Dispute for at least 30 days (“Informal Resolution”) from the day you or we receive a written notice of a dispute from the other party (a “Notice of Dispute”) in accordance with these Terms.

You must send any Notice of Dispute to the address for CorePower Yoga specified above, ATTN: NOTICE OF DISPUTE. We will send any Notice of Dispute to your registered email address and any address you have provided us. The Notice of Dispute sent by either party must include the sender’s name, address, and other contact information, a description of the Dispute (including any relevant account names), and what resolution to the Dispute is being sought.

The Notice requirement is designed to allow us (or you, in the case of a dispute we assert against you) to make a fair, fact-based offer of settlement if we or you choose to do so. You and we cannot proceed to arbitration unless this information has been provided. If you or we proceed to arbitration without providing a compliant Notice of Dispute, the sufficiency of a Notice of Dispute is an issue to be decided by a court. A court may enjoin the filing of an arbitration demand that has not been preceded by a compliant Notice of Dispute and may order a party that has filed an arbitration demand without having provided a compliant Notice to reimburse the other party for any arbitration fees and costs already incurred.

We hope you’ll try Informal Resolution first, and you must do so before commencing an arbitration, but you don’t have to before going to small-claims court.

3. Small Claims Court

You and we agree that disputes that qualify for small-claims court in either the county where you live or the United States may be brought as individual actions only in such small-claims courts. To the fullest extent allowed by applicable law, you and we agree to waive the right to trial by jury in a small claims court.

4. Binding Individual Arbitration

THE ARBITRATION PROCEEDINGS IN THIS SECTION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY. Under no circumstances do we consent to have any Disputes arbitrated using class action procedures, even if the arbitration provider has rules permitting class arbitrations.

You and we agree that Disputes will be resolved by binding individual arbitration conducted by JAMS, Inc. (“JAMS”), www.jamsadr.com, according to the United States Federal Arbitration Act (“FAA”) and federal arbitration law and according to the JAMS Streamlined Arbitration Rules and Procedures in effect at the time the Dispute arises (the “JAMS Rules”), as modified by these Terms.

Arbitration” means that Disputes between us will be resolved by a neutral arbitrator instead of in a court by a judge or jury.

Individual” means that the arbitrator may award the same remedies to you or to us as a court could, but only to satisfy your or our individual claims. To the fullest extent allowed by applicable law, the arbitrator may not award money or other relief for the benefit of any person other than you or us as part of the resolution of any Dispute.

Binding” means that both you and we will have to live with the arbitrator’s decision, except to the limited extent appeals to a court are permitted under the FAA. As limited by the FAA, these Terms, and the rules applicable to the arbitration, the arbitrator will have exclusive authority to make all procedural and substantive decisions regarding any Dispute and to grant any remedy that would otherwise be available in court, including the power to determine the question of arbitrability. The arbitrator will have authority to award temporary, interim, or permanent injunctive relief or relief providing for specific performance of these Terms, but (as provided above) only to the extent necessary to provide relief to a party in arbitration warranted by the individual claim before the arbitrator. The award rendered by the arbitrator may be confirmed and enforced in any court having jurisdiction.

5. Arbitration Procedure and Location

You or we may initiate arbitration of Disputes not resolved by Informal Resolution by filing a Demand for Arbitration with JAMS in accordance with the JAMS Rules. Instructions for filing a Demand with JAMS are available on the JAMS website or by calling JAMS at 1-800-352-5267. You must send any Demand for Arbitration to CorePower Yoga at the address specified above. We will send any Demand for Arbitration to the email address and to any physical address you have provided us.

The arbitration will be conducted by a single arbitrator. You and we both agree that the arbitration will be conducted in the English language and that the arbitrator will be bound by these Terms.

For Disputes in which the claimant seeks less than $10,000, the arbitrator will decide the matter solely on the basis of written submissions, without a formal hearing, unless the arbitrator decides that a formal hearing is necessary. For matters in which the claimant seeks $10,000 or more, or smaller matters in which the arbitrator determines a hearing to be necessary, hearings shall be conducted by video or telephone, unless the arbitrator determines an in-person hearing to be necessary. If an in-person hearing is required, and you reside in the United States, the hearing will take place in Denver, CO, Minneapolis, MN, Chicago, IL, New York City, NY, Los Angeles or San Francisco, CA, Atlanta, GA or Dallas, TX (whichever is closest to your residence), unless the arbitrator determines that this would pose a hardship for the claimant, in which case the in-person hearing may be conducted in the claimant’s state and county of residence. If you reside outside the United States, the site of any in-person hearing will be determined by the JAMS Rules.

The arbitrator (not a judge or jury) will resolve the Dispute. Unless you and we agree otherwise, any decision or award will include a written statement stating the decision of each claim and the basis for the award, including the arbitrator’s essential factual and legal findings and conclusions. The arbitrator will have the authority to grant motions dispositive of all or part of any Claim.

To the fullest extent allowed by applicable law, the arbitrator may only award legal or equitable remedies that are Individual to you or us to satisfy one of our Individual claims (that the arbitrator determines are supported by credible relevant evidence).

An arbitration award, and any judgment confirming it, apply only to that specific case; it cannot be used or offered as precedent in any other case except to enforce the award itself.

All aspects of the arbitration proceeding, including but not limited to, the award of the arbitrator and compliance therewith, will be strictly confidential. The parties agree to maintain confidentiality unless otherwise required by law. This paragraph will not prevent a party from submitting to a court of law any information necessary to enforce this Arbitration Agreement or to enforce an arbitration award.

Any decision or award may be enforced as a final judgment by any court of competent jurisdiction or, if applicable, application may be made to such court for judicial confirmation of any award and an order of enforcement.

6. Consumer Arbitration Fees

If you start an arbitration against us, you will pay the filing fee required for consumer arbitrations. If we start an arbitration against you, we will pay all filing fees, including the share that ordinarily would have been borne by you.

Arbitration costs do not include your attorneys’ fees and expenses if you choose to be represented by an attorney. If you choose to be represented by an attorney, you will pay your own attorneys’ fees and costs unless the applicable law provides otherwise. Nothing in this provision should be construed as preventing the arbitrator from awarding attorneys’ fees to the prevailing party if applicable law and the JAMS Rules permit such awards.

7. Notice and Filing

To the fullest extent permitted by applicable law, you or we must start arbitration of a Dispute within two (2) years from when the Dispute first arose. If applicable law requires you or us to bring a claim for a Dispute sooner than two years after the Dispute first arose, that shorter deadline applies instead. The failure to begin arbitration regarding a Dispute within the time frames described above in this section shall bar the Dispute, which means that to the fullest extent permitted by applicable law, you and we will not have the right to assert the Dispute.

8. Special Rules for Coordinated Filings

If 25 or more Disputes are initiated with the arbitrator that raise similar claims, and counsel for the claimants are the same or coordinated, these will be considered “Coordinated Cases” and the arbitration provider will treat them as such, including with respect to its fee schedule for mass arbitration filings. Applicable statutes of limitations will be tolled for all claimants once they have provided compliant Notices of Dispute to us, but demands for arbitration in Coordinated Cases shall only be filed with the arbitration provider as permitted by the bellwether process set forth below.

Once Notices of Dispute have been provided to us for Coordinated Cases, counsel for claimants and counsel for us shall confer in good faith regarding the number of cases that should proceed as bellwethers, to allow each side to test the merits of its arguments, before the remainder of claims may be filed with the arbitration provider. Any number chosen must be an even number so as to allow each side to designate half of the cases selected for bellwether trials. If counsel for claimants and for us do not agree on the number of bellwethers, the number shall be chosen by the arbitration provider as an administrative matter (or, in the arbitration provider’s discretion, by a process arbitrator). Factors that the arbitration provider may consider in making this decision include the complexity of the dispute and differences in facts or applicable laws among various claims. Once the number of bellwethers is fixed, by agreement or by the arbitration provider, each side shall each select half that number from among the claimants who have provided compliant Notices of Dispute, and only those chosen claims may be filed with the arbitration provider. You agree that if your case is among Coordinated Cases filed against us, resolution of your personal claim might be delayed by this bellwether process.

A single arbitrator shall preside over each Coordinated Case chosen for a bellwether proceeding, and only one Coordinated Case may be assigned to each arbitrator as part of a bellwether process unless the parties agree otherwise.

Once all bellwether trials have concluded (or sooner if the counsel for the claimants and us agree), the parties must engage in a single mediation of all remaining cases, with each side paying half the applicable mediation fee. Counsel for claimants and for us must agree on a mediator within 30 days after the conclusion of the last bellwether trial. If counsel for claimants and for us cannot agree on a mediator within 30 days, the arbitration provider will appoint a mediator as an administrative matter. Counsel for the claimants and for us will cooperate for the purpose of ensuring that the mediation is scheduled as quickly as practicable after the mediator is appointed.

If the mediation does not yield a global resolution, this arbitration requirement shall no longer apply to claimants in Coordinated Cases who provided compliant Notices of Dispute but whose claims were not resolved in bellwether proceedings. Their cases may be filed only in the state courts in Denver, Colorado, or if federal jurisdiction exists, in the United States District Court for the District of Colorado, and you consent as part of these Terms to venue such cases exclusively in these courts. Nothing in this paragraph shall be construed as prohibiting either you or us from removing a case from state to federal court if removal is allowed under applicable law. To the extent you are asserting the same claims as other persons and are represented by common or coordinated counsel, you agree to waive any objection that the joinder of all such persons is impracticable. If a formerly arbitrable Dispute is brought in court, claimants may seek class treatment, but to the fullest extent allowed by applicable law, the classes sought may comprise only the claimants in the Coordinated Cases who provided compliant Notices of Dispute, and we reserve the right to contest class certification at any stage of the litigation and on any available basis.

A court shall have authority to enforce this bellwether process and may enjoin the filing of lawsuits or arbitration demands not made in compliance with it.

IV. MISCELLANEOUS

No Assignment

These Student Terms & Conditions are not assignable, transferable, or sublicensable by you except with the prior written consent of a duly authorized CorePower Yoga employee.

Waiver

CorePower Yoga’s failure at any time to require performance of any provision of these Student Terms and Conditions or to exercise any right provided for herein will not be deemed a waiver of such provision or such right. All waivers must be in writing. Unless the written waiver contains an express statement to the contrary, no waiver by CorePower Yoga or any breach of any provision of these Student Terms & Conditions or of any right provided for herein will be construed as a waiver of any continuing or succeeding breach of such provision, a waiver of the provision itself, or a waiver of any right under these Student Terms & Conditions

Severability

If any provision of these Student Terms & Conditions is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Student Terms & Conditions will remain in full force and effect.

Governing Law

These Student Terms & Conditions will be governed by and construed in accordance with the internal laws of the State of Colorado without giving effect to any choice or conflict of law provision or rule. For any dispute that is not subject to the Arbitration Agreement herein, the parties hereby submit to and consent to the jurisdiction of the State of Colorado and agree that such litigation shall be conducted in state or federal court in the City and County of Denver, Colorado. You hereby irrevocably consent and submit to the personal jurisdiction of said courts for all such purposes. However, we retain the right to bring legal proceedings in any jurisdiction where we believe that infringement of these Student Terms & Conditions is taking place or originating.

Entire Agreement

These Student Terms & Conditions (together with the CorePower Yoga Terms of Use, CorePower Yoga Privacy Policy, and CorePower Yoga Messaging Terms & Conditions) contain the entire understanding and agreement between you and CorePower Yoga with respect to the Services and supersede all previous communications, negotiations, and agreements, whether oral, written, or electronic, between you and CorePower Yoga with respect to the Services and your use of this Site.

These CorePower Yoga Student Terms & Conditions (the “Student Terms & Conditions”) govern your participation in Activities as defined in the CorePower Yoga Terms of Use and include legal terms and disclaimers. All capitalized terms not otherwise defined herein shall have the same meaning as the CorePower Yoga Terms of Use, into which these Student Terms & Conditions are incorporated by reference.

If you participate in Activities at or through a studio operated by a CorePower Yoga franchisee, the franchisee may require you to execute additional agreements, documents, waivers, or releases. You acknowledge that the terms, conditions, and provisions of any such additional items only supplement (and do not modify or vary) these Student Terms & Conditions or the CorePower Yoga Terms of Use. In the event of any conflict (as determined by CorePower Yoga, LLC in its sole discretion) between these Student Terms & Conditions and/or the CorePower Yoga Terms of Use and such items, these Student Terms & Conditions and CorePower Yoga Terms of Use shall control. Ask your studio if there are any such supplementary items.

PLEASE READ THE FOLLOWING TERMS CAREFULLY BEFORE YOU USE OR ACCESS THE SERVICES OR ANY OF THE PRODUCTS OR ENGAGE IN ACTIVITIES THAT ARE AVAILABLE ON OR THROUGH THE SERVICES, AS THESE STUDENT TERMS & CONDITIONS AFFECT YOUR LEGAL RIGHTS.

These Student Terms & Conditions include an Arbitration Agreement, which will govern any dispute between you and us. Unless you opt out as described below, this Arbitration Agreement will:

Eliminate your right to a trial by jury; and Substantially affect your rights, including preventing you from bringing, joining, or participating in class, representative, or consolidated proceedings.

Canadian Residents Only: Laws of certain provinces of Canada limit or prohibit required arbitration and waivers of class actions; accordingly, the Arbitration Agreement is limited or restricted, if at all, for applicable Canadian residents to the extent of applicable Canadian laws.

These Student Terms & Conditions May Change

CorePower Yoga reserves the right to modify or add to these Student Terms & Conditions at any time, effective as of the posting of the new or revised Student Terms & Conditions or a later date as may be specified in the new or revised Student Terms & Conditions. You agree that we may notify you of the new or revised Student Terms & Conditions by making them available via the Services, and that your use of the Services after the effective date of the new or revised Student Terms & Conditions (or engaging in such other conduct as we may reasonably specify) constitutes your agreement to the new or revised Student Terms & Conditions. We therefore encourage you to review these Student Terms & Conditions every time you use the Services. We may also provide notice to you of any update to these Student Terms & Conditions in other ways in our discretion, such as through contact information you have provided, all in accordance with applicable laws and our Privacy Policy.

Your Compliance with CorePower Yoga Rules and Directions

By participating in Activities, you agree to observe all rules and directions of CorePower Yoga and the locations (in-studio, in person, online or otherwise) at which Activities take place (“Rules”). We reserve the right to take any action that we deem appropriate in the exercise of our discretion, including but not limited to suspension or termination of your privilege to participate in Activities, for violation of CorePower Rules and directions.

I. COREPOWER YOGA AUTO-RENEWING MEMBERSHIP PROGRAMS

A. ALL ACCESS MEMBERSHIP PROGRAM TERMS AND CONDITIONS

The All Access Membership Program (the “All Access Program”) is a program of CorePower Yoga. The All Access Program was previously known as the Black Tag Member Program. The All Access Program is designed to offer benefits to CorePower Yoga members who commit to a monthly autopay membership. In connection with changing the name of the program from Black Tag Member Program to the All Access Program, CorePower Yoga expanded the program to offer digital content benefits to All Access Program members as described below. The terms and conditions of the All Access Program (the “All Access Program Rules”) are as follows:

NOTE: Certain CorePower Yoga franchisees may continue to offer the legacy Black Tag Member Program in lieu of the All Access Program or as an option to the All Access Program, which program is limited to in-studio participation only; see “Studio Membership Program Terms and Conditions” below for more information about the Studio Member Program, and membership terms, conditions, limitations, and restrictions.

1. All Access Program Eligible Participants; Enrollment; Continuing Eligibility

Eligible participants in the All Access Program are individuals aged sixteen (16) years and older who enroll for a monthly autopay CorePower Yoga membership using a valid debit or credit card and maintain on file a valid debit or credit card for charges described below. As part of enrollment or continued membership, any other required membership documents, agreements, and waivers must also be completed and submitted, including any All Access Program forms. To continue to be eligible in the All Access Program, the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times, including, without limitation, by not freezing or canceling as described in Section I.H.2. below, or changing the participant’s CorePower Yoga membership, or allowing the participant’s CorePower Yoga membership to be terminated or lapse, and by continually maintaining payment by autopay for participant’s monthly membership fees. Once All Access Program eligibility ceases, a member may not take advantage of All Access Program benefits. The monthly membership rate shall be based on the location of the studio at which the member signs up and subject to any applicable promotions or discounts. CorePower Yoga reserves the right to change the monthly membership rate from time to time, subject to any applicable discounts or promotions. CorePower Yoga also reserves the right to adjust the member’s rate to the then-current monthly membership rate of the billing zip code associated with the member’s credit card on file if that rate differs from the applicable rate at the studio at which the member signed up or in the event the member relocates to a geography on a different price structure from the member’s original home studio, subject to any discounts or promotions the member was subject to at the time of inception of the membership.

2. Benefits of the All Access Program

As of the date of these All Access Program Rules, the standard benefits of the All Access Program are as follows:

a. Unlimited Yoga; Monthly Fee; Surcharges. Unlimited participation in open yoga classes at any CorePower Yoga studio, subject to class size and availability. CorePower Yoga’s reservation policy is set forth at https://www.corepoweryoga.com/content/help-center?category=1kMJdJtKnEvJ8nkKj6Qfpu&subcategory=MlDn3t3lFomFj71NpyrQI&faq=7mle8U1Lzs6dDayKlkNLmB. The All Access Program membership fee is a monthly fee. All Access Program membership fees for online membership purchases are set forth at https://www.corepoweryoga.com/content/membership-benefits. . For non-online purchases, inquire with your studio as to other available membership fees and discounts, if any. Membership fees may vary by studio and markets. Members’ membership fees are subject to change after enrollment. Membership fees are subject to applicable taxes, assessments and, as described below, CorePower Yoga surcharges. All Access Membership is nontransferable. Charges are nonrefundable, unless otherwise required by applicable law. Certain markets have per visit surcharges associated with visiting member studio use which are in addition to a member’s normal monthly membership fee; if you visit a studio that is not your home studio, please ask them about any market surcharge policies they have, or contact us at https://www.corepoweryoga.com/content/contact-us for more information. CorePower Yoga reserves the right to make changes to the type or quantity of classes or equipment offered.

b. Digital Programs. Unlimited participation in open CorePower Live (subject to class size availability) and Yoga on Demand classes.

c. Retail Discount. A fifteen percent (15%) discount on any retail merchandise purchase at any CorePower Yoga studio, subject to any restrictions imposed by applicable distributors or manufacturers. Discount does not apply to taxes or other assessments.

d. Special Offers. Special classes and offers that may be offered from time to time by CorePower Yoga locations for All Access Program members.

e. Teacher Training Program Discount. A discount on Teacher Training Programs. The percentage discount may vary. Enrollment in and admission to Teacher Training programs requires completion and submission of the then-current form of Enrollment Agreement and any other materials provided by CorePower Yoga, and acceptance into a program by CorePower Yoga.

f. Buddy Pass. Two Buddy Passes per billing cycle to provide family and friends with the opportunity to participate with the member in eligible CorePower Yoga classes at participating CorePower Yoga studios; subject to the CorePower Yoga Buddy Pass Program Terms and Conditions.

h. Workshops. A discount on Workshops that require a fee to participate. The percentage discount may vary.

3. Restrictions

All Access Program benefits are nontransferable and may only be used by the applicable member, and only so long as the individual is in good standing with CorePower Yoga. All Access Program benefits have no cash value and are not redeemable for cash or any substitute. All Access Program benefits cannot be combined with any other offer, coupon, or promotion, including any other promotional offers available to All Access Program participants through the All Access Program. All Access Program benefits cannot be applied to a prior purchase.

B. Founding All Access Membership Program- Additional Terms and Conditions

Founding All Access Membership Program (“Founding All Access Program”) is a special category of the All Access Program available only to new members of a newly opening CorePower Yoga studio who respond to an offer from CorePower Yoga to enroll in the All Access Program with a discounted monthly membership fee of twenty-five percent (25%) off the then-CorePower Yoga-designated monthly fee of the All Access Program for such market. The Founding All Access Program was previously known as the Founding Black Tag Member Program. Members are subject to the general All Access Program Rules, and additional terms and conditions below:

1. Discounted Membership Fee. The Founding All Access Program is a discounted monthly fee as set forth in the invitation for the applicable new studio. Membership freezes and cancellations are subject to the terms described in All Access Program benefits above. There is no activation fee and no minimum commitment. Prices are subject to applicable taxes, assessments and, as described above, CorePower Yoga surcharges. Membership is nontransferable.

2. Eligibility. Eligible participants in the Founding All Access Program are individuals who (a) have not had in the two (2) months prior to requesting enrollment in a Founding All Access Program membership at the applicable new CorePower Yoga studio any of the following: (i) a CorePower Yoga All Access Program membership of any kind, (ii) a Studio membership, a (iii) Black Tag or Founding Black Tag membership of any kind, or (iv) any other form of monthly membership (excluding Yoga on Demand or At Home memberships), (b) enroll for a monthly autopay CorePower Yoga membership using a valid debit or credit card for a new, to-be-opened, CorePower Yoga studio at which memberships for such studio are offered by CorePower Yoga, (c) are residents of the city in which the CorePower Yoga studio is located, and (d) are at least sixteen (16) years of age. As part of enrollment, all required membership documents, agreements and waivers must also be completed and submitted, including any All Access Program or Founding All Access Program forms. Enrollment for Founding All Access Program membership for a new studio begins at the time CorePower Yoga begins publicly distributing invitations for such new studio and ends at the communicated promotion close date for the new studio. To continue to be eligible for the Founding All Access Program membership, the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times, including, without limitation, by not terminating or changing the participant’s CorePower Yoga membership, or allowing the participant’s CorePower Yoga membership to be terminated, canceled or lapse, and by continually maintaining payment by autopay for participant’s monthly membership fees. Once eligibility ceases, a member will no longer have the Founding All Access Program membership or other All Access Program benefits. The monthly membership rate shall be based on then-current Founding All Access Program monthly rate associated with the studio at which the member signs up and subject to any applicable promotions or discounts. CorePower Yoga reserves the right to change the monthly membership rate from time to time, subject to any applicable discounts or promotions. CorePower Yoga also reserves the right to adjust the member’s rate in the event the member relocates, subject to any discounts or promotions the member was subject to at the time of inception of the membership.

C. STUDIO EXPERIENCE TEAM (SET) DISCOUNTED ALL ACCESS MEMBERSHIP PROGRAM TERMS AND CONDITIONS

The Studio Experience Team (“SET”) Discounted All Access Membership Program (the “SET Membership Program”) is a program of CorePower Yoga. The SET Membership Program is designed to offer benefits to certain CorePower Yoga members who commit to a monthly autopay membership. The terms and conditions of the SET Membership Program (the “SET Membership Program Rules”) are as follows:

1. SET Membership Program Eligible Participants; Enrollment; Continuing Eligibility

Eligible participants in the SET Membership Program are individuals who are hired by CorePower Yoga as a Studio Experience Team employee on or after August 14, 2023, and who enroll for a monthly autopay CorePower Yoga membership using a valid debit or credit card and maintain on file a valid debit or credit card for charges described below. As part of enrollment or continued membership, any other required membership documents, agreements, and waivers must also be completed and submitted, including any SET Membership Program forms. To continue to be eligible in the SET Membership Program, The individual must be an active Studio Experience Team employee in good standing, which includes adhering to the SET time and attendance policies, and the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times, including, without limitation, by not freezing or canceling as described in Section I.H.2. below, or changing the participant’s CorePower Yoga membership, or allowing the participant’s CorePower Yoga membership to be terminated or lapse, and by continually maintaining payment by autopay for participant’s monthly membership fees. Once SET Membership Program eligibility ceases, a member may not take advantage of SET Membership Program benefits. The monthly membership rate shall be based on the location of the studio at which the member signs up and subject to any applicable promotions or discounts. CorePower Yoga reserves the right to change the monthly membership rate from time to time, subject to any applicable discounts or promotions. CorePower Yoga also reserves the right to adjust the member’s rate to the then-current monthly membership rate of the billing zip code associated with the member’s credit card on file if that rate differs from the applicable rate at the studio at which the member signed up or in the event the member relocates to a geography on a different price structure from the member’s original home studio, subject to any discounts or promotions the member was subject to at the time of inception of the membership.

D. LIMITED VISIT MEMBERSHIP PROGRAM TERMS AND CONDITIONS

The Limited Visit Membership Program (“Limited Visit Program”) is a program of CorePower Yoga also referred to as either “Studio Pass 8 Visits Per Month,” “Studio Pass 6 Visits Per Month” or “Studio Pass 4 Visits Per Month” and is available in select markets only. The terms and conditions of the Limited Visit Program (the “Limited Visit Program Rules”) are as follows:

1. Limited Visit Program Eligible Participants; Enrollment

Eligible participants in the Limited Visit Program are individuals who enroll for a monthly autopay CorePower Yoga membership using a valid debit or credit card and maintain on file a valid debit or credit card for charges described below. As part of enrollment or continued membership, any other required membership documents, agreements, and waivers must also be completed and submitted, including any Limited Visit Program forms. To continue to be eligible in the Limited Visit Program, the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times, including without limitation, by not cancelling, or changing the participant’s CorePower Yoga membership (other than changes between limited visit categories within the Limited Visit Program), or allowing the participant’s CorePower Yoga membership to be terminated or lapse, and by continually maintaining payment by autopay for participant’s monthly membership fees. Once Limited Visit Program eligibility ceases, a member may not take advantage of Limited Visit Program benefits. The monthly membership rate shall be based on the location of the studio at which the member signs up and subject to any applicable promotions or discounts. CorePower Yoga reserves the right to change the monthly membership rate and purchased studio class rates from time to time, subject to any applicable discounts or promotions. A member’s Limited Visit Membership may only be used at the CorePower Yoga studio associated with the member’s membership (which is the member’s home studio). To practice at a CorePower Yoga studio other than a member’s home studio, a member must purchase a purchased studio class at the then current purchase studio class rate as offered at the studio the member wishes to visit, subject to any applicable promotions or discounts.

2. Benefits of the Limited Visit Program

As of the date of these Limited Visit Program Rules, the standard benefits of the Limited Visit Program are as follows:

a. Limited Visits; Monthly Fee. The Limited Visit Program allows a member to visit the participating CorePower Yoga studio associated with the member’s membership only and participate in open yoga classes, subject to class size and availability, up to four (4) times per month (a “Studio Pass – 4 Visits”) or up to eight (8) times per month (a “Studio Pass - 8 Visits”), based on the visitation category enrolled in by a member. Unused visits for a month do not carry forward to subsequent months and are forfeited, for which no consideration will be given or credited (for example, if a Limited Visit Program member with a Studio Pass - 8 Visits membership only uses the member’s membership to visit the member’s home studio five (5) times during a month, the remaining three (3) visits will be forfeited and not carry forward to the next month). For visits to a member’s home studio in excess of the applicable fixed limit for the member’s Limited Visit Program category, a member will be offered a fifty percent (50%) discounted purchased studio class rate as offered by the member’s home studio for each additional individual class. Charges are nonrefundable, except as required by law. CorePower Yoga reserves the right to make changes to the type or quantity of classes or equipment offered.

b. Retail Discount. A ten percent (10%) discount on any retail merchandise purchase at any CorePower Yoga studio, subject to any restrictions imposed by applicable distributors or manufacturers. Discount does not apply to taxes or other assessments.

c. Special Offers. Special classes and offers that may be offered from time to time by CorePower Yoga locations for Limited Visit Program members.

d. Teacher Training Program Discount. A discount on Teacher Training Programs. The percentage discount may vary. E. At Home Member Program Terms and Conditions

The At Home Member Program (the “At Home Program”) is a program of CorePower Yoga. The At Home Program offers members unlimited participation in open CorePower Live (subject to class size availability) and Yoga on Demand classes. The At Home Program membership fee is a monthly fee. At Home Program membership fees for online membership purchases are set forth at https://www.corepoweryoga.com/content/at-home-membership. For non-online purchases, inquire with your studio as to membership fees and discounts, if any. Members’ membership fees are subject to change after enrollment. Membership fees are subject to applicable taxes and assessments. At Home Membership is nontransferable. Chargesare nonrefundable unless otherwise required by applicable law. The terms and conditions of the At Home Program are as follows:

1. Eligible Participants; Enrollment; Continuing Eligibility

Eligible participants in the At Home Program are individuals who enroll for a monthly autopay CorePower Yoga membership using a valid debit or credit card. As part of enrollment or continued membership, any other required membership documents, agreements, and waivers must also be completed and submitted, including any At Home Program forms. To continue to be eligible for the At Home Program, the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times. This includes, without limitation, the participant’s not terminating or changing the participant’s CorePower Yoga membership, not allowing the participant’s CorePower Yoga membership to be terminated or lapse and maintaining payment by autopay for the participant’s monthly membership fees. Once At Home eligibility ceases, a member may not take advantage of At Home Program benefits.

2. Restrictions

At Home Program benefits are nontransferable and may only be used by the applicable member, and only so long as the individual is in good standing with CorePower Yoga. All At Home Program benefits have no cash value and are not redeemable for cash or any substitute. All At Home Program benefits cannot be combined with any other offer, coupon, or promotion, including any other promotional offers available to At Home Program participants through the At Home Program. At Home Program benefits cannot be applied to a prior purchase.

F. Studio Membership Program Terms and Conditions

Certain CorePower Yoga franchisees may continue to offer the legacy Black Tag Member Program (which for such franchisee purposes has been rebranded and is now known as the “Studio Program”) in lieu of the All Access Program or as an option to the All Access Program. The Studio Program is a legacy program of CorePower Yoga and is offered as a convenience for certain CorePower Yoga franchisees approved by CorePower Yoga to continue to offer the Studio Program, but there is no guarantee that the Studio Program will continue for any specified period of time, and CorePower Yoga reserves the right at any time, and from time to time, to discontinue offerings of the Studio Program by any or all such franchisees, and require conversion to the All Access Program (including any increases in a member’s monthly fee). The Studio Program is designed to offer benefits to CorePower Yoga members who commit to a monthly autopay membership; however, the Studio Program is limited to in-studio participation only and does not include participation in any digital programs offered by CorePower Yoga (including, without limitation, CorePower Live and Yoga on Demand). The Studio Program may also be subject to further terms, conditions, restrictions, and limitations specified by CorePower Yoga from time to time, including limitations and restrictions on benefits that are intended only for members of the All Access Program and not members of the Studio Program. Subject to the foregoing, these Student Terms & Conditions, including specifically the All Access Program Rules, apply to the Studio Program (and membership), as if the program (and membership) was the All Access Program, including, as applicable, the Founding All Access Program with respect to Founding Studio Program membership. G. Studio Pass Unlimited Membership Program Terms and Conditions

The Studio Pass Unlimited Membership Program (“Studio Pass Unlimited Program”) is a program of CorePower Yoga and branded as “Studio Pass Unlimited” and is available in select markets only. The terms and conditions of the Studio Pass Unlimited Program (the “Studio Pass Unlimited Program Rules”) are as follows:

1. Studio Pass Unlimited Eligible Participants; Enrollment

Eligible participants in the Studio Pass Unlimited Program are individuals who enroll for a monthly autopay CorePower Yoga membership using a valid debit or credit card and maintain on file a valid debit or credit card for charges described below. As part of enrollment or continued membership, any other required membership documents, agreements, and waivers must also be completed and submitted, including any Studio Pass Unlimited Program forms. To continue to be eligible in the Studio Pass Unlimited Program, the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times, including without limitation, by not cancelling, or changing the participant’s CorePower Yoga membership, or allowing the participant’s CorePower Yoga membership to be terminated or lapse, and by continually maintaining payment by autopay for participant’s monthly membership fees. Once Studio Pass Unlimited Program eligibility ceases, a member may not take advantage of Studio Pass Unlimited Program benefits. The monthly membership rate shall be based on the location of the studio at which the member signs up to visit and is subject to any applicable promotions or discounts. CorePower Yoga reserves the right to change the monthly membership rate and purchased studio class rates from time to time, subject to any applicable discounts or promotions. A member’s Studio Pass Unlimited Membership may only be used at the CorePower Yoga studio associated with the member’s membership (which is the member’s home studio). To practice at a CorePower Yoga studio other than a member’s home studio, a member must purchase a purchased studio class at the then current purchase studio class rate as offered at the studio the member wishes to visit, subject to any applicable promotions or discounts.

2. Benefits of the Studio Pass Unlimited Program

As of the date of these Studio Pass Unlimited Program Rules, the standard benefits of the Studio Pass Unlimited Program are as follows:

a. Unlimited Visits to Home Studio; Monthly Fee. The Studio Pass Unlimited Program allows a member to visit the participating CorePower Yoga studio associated with the member’s membership only and participate in an unlimited number of open yoga classes, subject to class size and availability. CorePower Yoga’s reservation policy is set forth at https://www.corepoweryoga.com/content/help-center?category=1kMJdJtKnEvJ8nkKj6Qfpu. The Studio Pass Unlimited Program membership fee is a monthly fee. For non-online purchases, inquire with your studio as to other available membership fees and discounts, if any. Membership fees may vary by studio and markets. Members’ membership fees are subject to change after enrollment. Membership fees are subject to applicable taxes and assessments. Studio Pass Unlimited Membership is nontransferable. Charges are nonrefundable, unless otherwise required by applicable law. CorePower Yoga reserves the right to make changes to the type or quantity of classes or equipment offered.

b. Retail Discount. A ten percent (10%) discount on any retail merchandise purchase at any CorePower Yoga studio, subject to any restrictions imposed by applicable distributors or manufacturers. Discount does not apply to taxes or other assessments.

c. Special Offers. Special classes and offers that may be offered from time to time by CorePower Yoga locations for Studio Pass Unlimited Program members.

d. Teacher Training Program Discount. A discount on Teacher Training Programs. The percentage discount may vary. Enrollment in and admission to Teacher Training programs requires completion and submission of the then-current form of Enrollment Agreement and any other materials provided by CorePower Yoga, and acceptance into a program by CorePower Yoga.

3. Restrictions. Studio Pass Unlimited Program benefits are nontransferable and may only be used by the applicable member at the member’s home studio, and only so long as the individual is in good standing with CorePower Yoga. Studio Pass Unlimited Program benefits have no cash value and are not redeemable for cash or any substitute. Limited Visit Program benefits cannot be combined with any other offer, coupon, or promotion, including any other promotional offers available to Studio Pass Unlimited Program participants through the Studio Pass Unlimited Program. Studio Pass Unlimited Program benefits cannot be applied to a prior purchase. Studio Pass Unlimited Program membership use is only available at your home studio. Studio Pass Unlimited Membership Program memberships are not eligible for freezes as described in Section I.H.2.

H. Auto-Renewal Agreement Terms and Member Card Charge Authorization

1. Monthly Programs.

All Access Program, Founding All Access Program, Studio Experience Team Discounted All Access Membership Program, Limited Visit Program, At Home Program, and Studio Pass Unlimited Program (each a “Monthly Program”) are all monthly auto-renewing memberships. CorePower Yoga reserves the right to create additional monthly programs in the future. You understand that your Monthly Program membership will continue to renew monthly until you properly freeze (for applicable Monthly Programs) or cancel your membership (as described in “Freezes and Cancellations” below). You understand that you will be expected to pay any and all fees and charges associated with your account that are outstanding when your account is frozen or canceled.

You authorize CorePower Yoga, LLC, its franchisees, and their respective third-party payment processor(s) to charge your debit or credit card on a monthly basis for the price of your Monthly Program membership, and for any other fees and charges as and when incurred by you in using your CorePower Yoga membership, or CorePower Yoga products, services, or facilities, including without limitation, all reservation and late cancel/no show fees. Changes to this authorization agreement by CorePower Yoga will be reflected in any changes to this Auto-Renewal Agreement Terms and Member Card Charge Authorization. We will notify you of any changes to these Auto-Renewal Terms and Member Card Charge Authorization via email to the email address associated with your account.

2. Freezes, Cancellations and Terminations

a. Freezes. An eligible Monthly Program member may freeze the member’s Monthly Program membership (other than Limited Visit Program and Studio Pass Unlimited memberships, which are not freeze eligible and may only be cancelled as set forth in Section I.H.2.b) for up to a maximum of 90 days (in 30 day increments) per 12-month period, with the 12-month period measured starting on the first day of the first freeze in the 12-month period. In the event the member is pregnant or deployed to active military duty, CorePower Yoga may permit a member to freeze a membership for longer than 90 days and may request information reasonable to verify deployment or pregnancy. When a member freezes an eligible membership, the member must pay a nonrefundable fee (“Freeze Fee”) of $15 per 30 day freeze period (a “Freeze Month”) for each Freeze Month but will not be obligated to pay the CorePower Yoga Monthly Program membership fee for any such Freeze Month(s). During the Freeze Month(s), the member will not receive any Monthly Program or other CorePower Yoga benefits (including, without limitation, access to Yoga On Demand and CorePower Live), but will maintain the member’s Monthly Program rate, subject to ordinary adjustments to rates that CorePower Yoga reserves the right to make from time to time. You may freeze your Monthly Program membership by going to your dashboard and clicking “My Membership” then clicking “Freeze Membership” at https://www.corepoweryoga.com/profile/account/my-membership. The freeze will take effect immediately. Your Monthly Program and CorePower Yoga benefits will reinstate automatically once the freeze has ended. You may also unfreeze your Monthly Program membership by going to your account and clicking “My Membership” then clicking “Unfreeze Membership” at https://www.corepoweryoga.com/profile/account/my-membership. CorePower Yoga does not provide a refund for the Freeze Fee in the event that you unfreeze your membership before a Freeze Month ends. Your unfrozen membership will be subject to the Auto-Renewal Agreement Terms and previously provided Member Card Charge Authorization described above in “Auto-Renewal Agreement Terms and Member Card Charge Authorization.” After the freeze ends, the billing cycle for your membership will be adjusted by the number of days remaining in your original monthly membership period as of the date of the freeze and your card on file will next be billed on a date which is the date the freeze ends plus the number of days remaining in your paid membership month prior to the freeze. CorePower Yoga does not prorate months of membership, does not provide refunds or credits for any partial month, and does not freeze accounts for less-than-30-day increments. To cancel your membership during a freeze, you must unfreeze your Monthly Membership by going to your dashboard and clicking “My Membership” then clicking “Unfreeze Membership” at https://www.corepoweryoga.com/profile/account/my-membership and then cancel the Monthly Membership as set forth in Section I.H.2.b.

b. Cancellation.

i. You may cancel your membership in a Monthly Program at any time prior to midnight on the fifth (5th) business day after the date you enroll and your membership invoice is created, excluding Sundays and holidays. Upon cancellation, you will receive a pro rata refund within 10 days after we receive notice of cancellation, except that you must pay for any services used prior to cancellation. You may also have a right to immediate cancellation in specific circumstances, including in the event of death or disability or other circumstances as required by law. Please submit a request to our Customer Experience team here.

ii. In all other circumstances not set forth in the prior subsection, you have the right to cancel your membership:

(1) For a Monthly Program membership (other than a Limited Visit Program or Studio Pass Unlimited Program) at any time for any reason with 30 days’ notice to us, with notice effective on the business day following the day that you notify us of cancellation, in which event your membership and access to Monthly Program Enrollment and benefits will terminate effective 30 days after the effective date of your notice of cancellation to us.

(2) For a frozen Monthly Program membership, at any time for any reason with 30 days’ notice to us, by unfreezing and canceling your membership at https://www.corepoweryoga.com/profile/account/my-membership. When you unfreeze and then cancel a Monthly Program membership, your membership and benefits will reinstate when you unfreeze for a period of time equal to the number of days remaining in your paid membership month prior to the freeze (“Post-Freeze Paid Days”) plus the number of days necessary to equal 30 days, which is the required cancellation notice period (“Additional Cancellation Period Days”). You will be charged for these Additional Cancellation Period Days on or after a date which is the date of the unfreezing of your membership plus the number of Post-Freeze Paid Days.

(3) For a Limited Visit Program or Studio Pass Unlimited Membership Program, at any time for any reason by providing notice to us prior to the monthly renewal date of your membership, in which event your membership and access to Limited Visit Program or Studio Pass Unlimited benefits will terminate effective at the end of your billing cycle.

To cancel your Monthly Program membership, go to your dashboard and click “My Membership” then click “Cancel Membership” or call 1-833-448-2561.

c. Termination by CorePower. CorePower Yoga may terminate your membership in a Monthly Program and/or in purchased studio classes, in its sole discretion, if (1) you fail to make timely payments; (2) your method of payment is canceled, interrupted or discontinued for any reason and you do not provide an acceptable alternative; (3) you fail to follow policies posted by CorePower Yoga in studio or online or instructions given by a CorePower Yoga instructor or other employee; or (4) you engage in conduct that CorePower Yoga deems to be detrimental, harmful or inappropriate to yourself, a fellow student, employee of CorePower Yoga or CorePower Yoga or (5) in the case of SET Program Membership, you fail to adhere to the SET employees time and attendance policy or have separated from employment.

d. Rejoining. If you cancel your membership in a Monthly Program and wish to become a member again, you must re-enroll for a then-existing membership program at the applicable CorePower Yoga Monthly Program membership rates, subject to any applicable terms, conditions, limitations, and restrictions. If CorePower Yoga exercises its right to terminate your membership in a Monthly Program and/or in purchased studio classes, CorePower Yoga reserves the right to refuse a request to rejoin.

I. Additional Card Charge Authorization

In addition to the member card charge authorizations for memberships elsewhere in these Student Terms & Conditions (if applicable), you understand, whether or not you are a member, you may also be separately asked to provide a valid debit or credit card to keep on file with CorePower Yoga for future transactions. By providing your debit or credit card in response to such inquiry, you authorize CorePower Yoga, LLC, its franchisees, and their respective third-party payment processor(s) to charge your debit or credit card for any fees and charges as and when incurred by you in using CorePower Yoga products, services, or facilities, including without limitation all mat rental or other charges, reservation, and late cancel/no show fees. Changes to this authorization agreement by CorePower Yoga will be reflected in any changes to this Additional Card Charge Authorization.

J. Other Offers

CorePower Yoga may also offer any Monthly Program through specific and/or restricted portals or methods (for example, specific CorePower Yoga social media sites), and offer different, additional and/or modified benefits, terms and conditions for participants accepting through such portals or methods. CorePower Yoga reserves the right to condition eligibility for such offers to participants utilizing such portal/method to accept or respond to such offer. For such additional eligibility requirements and, if applicable, different, additional and/or modified benefits, consult the terms of the specific offer. The foregoing actions may be taken even though such actions may affect benefits in any Monthly Program or your participation therein.

K. COMMITTED MEMBERSHIP PROGRAM TERMS AND CONDITIONS

The Committed Membership Program (the “Committed Membership Program”) is a program of CorePower Yoga. The Committed Membership Program is designed to offer benefits to CorePower Yoga members who commit to a six- or twelve- month membership at a fixed price paid monthly through the term of the membership. The Committed Membership will automatically convert upon expiration into an All Access Membership monthly autopay membership. The Committed Membership Program is offered only by participating studios.

The terms and conditions of the Committed Membership Program (the “Committed Membership Program Rules”) are as follows:

1. Committed Membership Program Eligible Participants; Enrollment; Continuing Eligibility

Eligible participants in the Committed Membership Program are individuals aged sixteen (16) years and older who enroll for a six or twelve month CorePower Yoga membership using a valid debit or credit card and maintain on file a valid debit or credit card for charges described below. As part of enrollment or continued membership, any other required membership documents, agreements, and waivers must also be completed and submitted, including any Committed Membership Program forms. To continue to be eligible in the Committed Membership Program, the participant’s membership and membership account must remain in good standing with CorePower Yoga at all times, including, without limitation, by not canceling as described in Section ______ below, early termination as described in Section ____ below, or changing the participant’s CorePower Yoga membership, and by continually maintaining payment by autopay for participant’s Committed Membership membership fees. Once Committed Membership Program eligibility ceases, a member may not take advantage of Committed Membership Program benefits. The Committed Membership price shall be based on the location of the participating studio at which the member signs up and subject to any applicable promotions or discounts. A Committed Membership cannot be frozen.

2. Benefits of the Committed Membership Program

As of the date of these Committed Membership Program Rules, the standard benefits of the Committed Membership Program are as follows:

a. Unlimited Yoga; Monthly Fee; Surcharges. Unlimited participation in open yoga classes at any CorePower Yoga studio, subject to class size and availability. CorePower Yoga’s reservation policy is set forth at https://www.corepoweryoga.com/content/help-center?category=1kMJdJtKnEvJ8nkKj6Qfpu&subcategory=MlDn3t3lFomFj71NpyrQI&faq=7mle8U1Lzs6dDayKlkNLmB. The Committed Membership Program membership fee is for a six or twelve month membership, paid monthly. Committed Membership Program participating studios and membership fees for online membership purchases are set forth at https://www.corepoweryoga.com/content/buy. For non-online purchases, inquire with your studio as to other available membership fees and discounts, if any. Membership fees may vary by studio and markets. Membership fees are subject to applicable taxes, assessments and, as described below, CorePower Yoga surcharges. Committed Membership is nontransferable. Charges are nonrefundable, unless otherwise required by applicable law. Certain markets have per visit surcharges associated with visiting member studio use which are in addition to a member’s Committed Membership membership fee; if you visit a studio that is not your home studio, please ask them about any market surcharge policies they have, or contact us at https://www.corepoweryoga.com/content/contact-us for more information. CorePower Yoga reserves the right to make changes to the type or quantity of classes or equipment offered.

b. Digital Programs. Unlimited participation in open CorePower Live (subject to class size availability) and Yoga on Demand classes.

c. Retail Discount. A fifteen percent (15%) discount on any retail merchandise purchase at any CorePower Yoga studio, subject to any restrictions imposed by applicable distributors or manufacturers. Discount does not apply to taxes or other assessments.

d. Special Offers. Special classes and offers that may be offered from time to time by CorePower Yoga locations for All Access Program members.

e. Teacher Training Program Discount. A discount on Teacher Training Programs. The percentage discount may vary. Enrollment in and admission to Teacher Training programs requires completion and submission of the then-current form of Enrollment Agreement and any other materials provided by CorePower Yoga, and acceptance into a program by CorePower Yoga.

f. Buddy Pass. Two Buddy Passes per billing cycle to provide family and friends with the opportunity to participate with the member in eligible CorePower Yoga classes at participating CorePower Yoga studios; subject to the CorePower Yoga Buddy Pass Program Terms and Conditions.

h. Workshops. A discount on Workshops that require a fee to participate. The percentage discount may vary.

3. Restrictions

Committed Membership Program benefits are nontransferable and may only be used by the applicable member, and only so long as the individual is in good standing with CorePower Yoga. Committed Membership Program benefits have no cash value and are not redeemable for cash or any substitute. Committed Membership Program benefits cannot be combined with any other offer, coupon, or promotion, including any other promotional offers available to Committed Membership Program participants through the Committed Membership Program. Committed Membership member benefits cannot be applied to a prior purchase.

4. Member Card Charge Authorization for Committed Membership Program

Your Committed Membership Program membership is a 6 or 12 month membership with automatic monthly installment payments for the duration of the membership. You understand that you will be expected to pay any and all fees and charges associated with your account that are outstanding when your account is canceled or terminated early except as required by law.

You authorize CorePower Yoga, LLC, its franchisees, and their respective third-party payment processor(s) to charge your debit or credit card on a monthly basis for the price of your Committed Membership Program membership, and for any other fees and charges as and when incurred by you in using your CorePower Yoga membership, or CorePower Yoga products, services, or facilities, including without limitation, all reservation and late cancel/no show fees. Changes to this authorization agreement by CorePower Yoga will be reflected in any changes to this Auto-Renewal Agreement Terms and Member Card Charge Authorization. We will notify you of any changes to these Auto-Renewal Terms and Member Card Charge Authorization via email to the email address associated with your account.

5. California Residents a. Cancellation. A Committed Membership may be cancelled by you only as set forth in this section. i. California Cancellation Period. You, the buyer, may choose to cancel this agreement at any time prior to midnight of the fifth business day of the health studio after the date of this agreement, excluding Sundays and holidays. For a Committed Membership that requires payment of less than $1,499, you shall have the right to cancel within 5 days after the contract is executed. For a Committed Membership that requires payment of one thousand five hundred dollars ($1,500) to two thousand dollars ($2,000), inclusive, including initiation fees or initial membership fees, you shall have the right to cancel the contract within 20 days after the contract is executed. For a Committed Membership that requires payment of two thousand one dollars ($2,001) to two thousand five hundred dollars ($2,500), inclusive, including initiation fees or initial membership fees, you shall have the right to cancel the contract within 30 days after the contract is executed. For a Committed Membership that requires payment of two thousand five hundred one dollars ($2,501) or more, including initiation fees or initial membership fees, you shall have the right to cancel the contract within 45 days after the contract is executed. The 5, 20, 30 or 45 day period is the “Initial Cancellation Period.” During the Initial Cancellation Period, you may cancel in person, via email at [email address] or via first-class mail to 3001 Brighton Blvd., Suite 269, Denver, CO 80216 or you may cancel by going to your dashboard and clicking “My Membership,” then clicking “Cancel Membership,” or by calling 1-833-448-2561. Following the “Initial Cancellation Period” and before your final billing cycle, you may cancel by going to your dashboard and clicking “My Membership,” then clicking “Cancel Membership,” or by calling 1-833-448-2561. ii. Upon cancellation, you shall be liable only for that portion of the total contract payment, including initiation fees and other charges however denominated, that has been available for use by you, based upon a pro rata calculation over the term of the contract. The remaining portion of the contract payment shall be returned to you by CorePower Yoga. Your Committed Membership Program benefits shall cease upon cancellation. b. Early Termination of Committed Membership by Member. If you terminate your six month Committed Membership after the Initial Cancellation Period and prior to your fifth payment, you shall be charged an early termination fee on the date of early termination equal to your monthly Committed Membership billed amount. If you cancel your twelve month Committed Membership after the Initial Cancellation Period and prior to your eleventh payment, you shall be charged an early termination fee on the date of early termination equal to two months of your monthly Committed Membership billed amount. The total charge for monthly membership plus the early termination fee shall not exceed the original total price of your Committed Membership. Your member benefits shall end at the end of your billing cycle. To terminate your Committed Membership after the initial cancellation period and before your final billing cycle, go to your dashboard and click “My Membership” then click “Cancel Membership” or call 1-833-448-2561. c. Cancellation for Elimination or Substantial Reduction of Scope of Facilities. If at any time during the term of Committed Membership, including a transfer of the contractual obligation, CorePower Yoga eliminates or substantially reduces the scope of the facilities available for use, the member may cancel the contract and receive a pro rata refund. The member may not cancel the contract pursuant to this subdivision if CorePower Yoga, after giving reasonable notice, temporarily takes facilities out of operation for reasonable repairs, modifications, substitutions, or improvements. d. Death or Disability. If you are unable to receive Committed Member Program benefits due to death or disability, you or your estate shall be relieved from the obligation of making payment for services other than those received prior to death or the onset of disability. If you have prepaid any sum for Committed Member Program services, you or your representative shall be refunded so much of such sum as is allocable to services you have not used at the time of your death or disability. “Disability” means a condition which precludes you from physically using the facilities and the condition is verified by a physician. e. Relocation. i. If you relocate more than 25 miles from a CorePower Yoga studio, you shall be relieved from the obligation of making payment further payment for services other than those received prior to the move. If you relocate during a billing cycle, so much of your monthly payment as is allocable to services you have not taken shall be promptly refunded. In such situation, CorePower Yoga reserves the right to charge you $100 or, if more than half the life of the Committed Membership has expired, $50. ii. If you relocate to New York prior to the expiration of your Committed Membership, notify CorePower Yoga by calling 1-833-448-2561. CorePower will offer you the option to purchase a New York Committed Membership at the then-current rate for a New York Committed Membership, subject to the terms and conditions for a New York Committed Membership, or a monthly All Access Membership subject to the terms and conditions for a New York All Access Membership at the then-current New York All Access Membership rate. 5. New York Residents a. Cancellation. i. YOU MAY CANCEL THIS CONTRACT WITHOUT ANY PENALTY OR FURTHER OBLIGATION WITHIN THREE (3) BUSINESS DAYS FROM THE DATE OF PURCHASE. Notice of cancellation shall be in writing and mailed by United States mail or electronic mail to CorePower Yoga Corporate Headquarters, 3001 Brighton Blvd., Suite 269, Denver, CO 80216. Phone: (866) 441-9642. Email: legal@corepoweryoga.com. All moneys paid pursuant to such contract shall be refunded within ten business days of receipt of such notice of cancellation. ii. ADDITIONAL RIGHTS TO CANCELLATION: You may also cancel your Committed Membership for any of the following reasons:

  1. If upon a doctor's order, you cannot physically receive the services because of significant physical disability for a period in excess of three months.

  2. If you die, your estate shall be relieved of any further obligation for payment under the contract not then due and owing.

  3. If you move your residence more than twenty-five miles from any studio operated by CorePower Yoga.

  4. If the services cease to be offered as stated in the contract.

iii. CorePower Yoga shall accept cancellation of a membership by the buyer or the buyer's estate, as provided in this section, no later than three business days after receiving notice of the cancellation. CorePower shall accept notice of cancellation of a membership through its website, electronic mail, telephone, mail, or in person. CorePower shall refund all moneys paid in the event of cancellation pursuant to this section within ten business days of receipt of the notice of cancellation provided however that the CorePower may retain the expenses incurred and the portion of the total price representing the services used or completed. b. Early Termination of Committed Membership by Member. If you terminate your six month Committed Membership after the cancellation period set forth in section (a)(ii) above but prior to your fifth payment, you shall be charged an early termination fee on the date of early termination equal to your monthly Committed Membership billed amount. If you cancel your twelve month Committed Membership after the cancellation period set forth in section (a)(ii) above and prior to your eleventh payment, you shall be charged an early termination fee on the date of early termination equal to two months of your monthly Committed Membership billed amount. The total charge for monthly membership plus the early termination fee shall not exceed the original total price of your Committed Membership. Your member benefits shall end at the end of your billing cycle. To terminate your Committed Membership after the initial cancellation period and before your final billing cycle, go to your dashboard and click “My Membership” then click “Cancel Membership” or call 1-833-448-2561.

c. Cancellation of AAM After Expiration of Committed Membership. For a committed membership that converts to AAM upon expiration, you may cancel the AAM within fifteen business days after the expiration of the twelve-month committed membership. In subsequent months, you may cancel your AAM within three business days after each monthly renewal so long as your home studio is located in New York. See Section II.A and H for applicable terms and conditions.

II. OTHER COREPOWER YOGA PROGRAMS & OFFERINGS

A. Purchased Studio Classes Terms and Conditions

If you are not a CorePower Yoga All Access Program or Studio Program member, you may purchase individual CorePower Yoga in-studio classes at https://www.corepoweryoga.com/content/membership-benefits or from a participating CorePower Yoga studio. In our various materials, we may refer to a class or classes as “drop-ins,” “purchased studio class/classes,” “in-studio class/classes,” “studio class/classes,” or simply “class/classes,” and to multiple classes available for purchase and storage in your account as a “class pack” or “class package”. CorePower Yoga may also make available studio classes on a promotional basis from time to time, on such additional or other terms and conditions applicable to the promotion, including discounted promotional prices. You must have a CorePower Yoga account to make a studio class purchase. If you do not have a membership or an account, you must create an account at www.corepoweryoga.com and then clicking on the My Profile avatar and pressing “Create Account.” Purchased classes will be reflected in your account and may be redeemed and used only at CorePower Yoga participating studios for eligible CorePower Yoga classes. Purchased classes are personal to the purchaser and are not assignable or transferrable. Purchased Classes are subject to restrictions, which may vary from time to time, including, without limitation, restrictions on use based on the location/studio at which a class is purchased and/or redeemed (for example, New York City studios only accept classes purchased from those studios). Purchased classes are nonrefundable unless otherwise required by applicable law. Purchased classes purchased before October 3, 2023 do not expire. Purchased classes purchased on or after October 3, 2023 will expire. The expiration date for a class purchased on or after such date will be shown at checkout before a purchase is made. Class expiration dates, if any, will be shown in your CorePower Yoga account for the applicable classes. Expiration dates vary as determined by CorePower Yoga based on the time of purchase, the number of classes purchased, and other factors determined by CorePower Yoga, including, if classes are purchased during any promotion. Expiration date periods begin from the date of class purchase and not from the date of first use.

B. CorePower Live Terms and Conditions

CorePower Live is a program of CorePower Yoga. CorePower Live offers CorePower Yoga members and nonmembers the opportunity to purchase and/or participate in live online CorePower Yoga classes. The terms and conditions of the CorePower Live program (the “CorePower Live Terms”) are as follows:

1. Create a CorePower Yoga Account

To register for CorePower Live classes, you can purchase an At Home Membership or CorePower Live class packs. Go to https://www.corepoweryoga.com/content/at-home-membership to create a CorePower Yoga account. To create a CorePower account, provide all required information and consents, including a valid email address and phone number then purchase an At Home Membership or CorePower Live class packs. You will need to review the applicable terms and conditions; You must be at least sixteen (16) years old to create a CorePower Live account and participate in CorePower Live.

2. Class Purchases and Registration

All Access Program and At Home Program members in good standing will have unlimited access to CorePower Live to register for individual CorePower Live classes, subject to class size availability; You may purchase individual CorePower Live classes at https://www.corepoweryoga.com/content/live-class-packs. If you are not a CorePower All Access Program or At Home Program member. CorePower Yoga may also make available CorePower Live classes on a promotional basis from time to time, on such additional or other terms and conditions applicable to the promotion. To register and pay for CorePower Live classes, follow the links and instructions at the CorePower Yoga Website. Required payments must be made at the CorePower Website using a CorePower Yoga account at the time of purchase with a valid debit or credit card; CorePower Yoga and/or CorePower Services LLC gift cards can be used to pay for CorePower Live class packs and CorePower studio class packs. Purchases are subject to applicable taxes and assessments. All purchases are nonrefundable unless otherwise required by applicable law. CorePower Live class credits are not transferrable, have no cash value, and do not expire. CorePower Live classes are separate from any other programs, classes, and other offerings of CorePower Yoga, including Yoga on Demand.

3. Class Access

After registration via CorePowerYoga.com, classes can be accessed via a ‘Join Now’ button on your dashboard, on your schedule page or your For You homepage on site and the MobileApp. CorePower Yoga reserves the right to class reminder notices prior to class start time. All CorePower Live classes must be purchased and registered in advance and are subject to class size availability. All registrations are with respect to specific scheduled CorePower Live classes. Class registration, and class access codes and passwords, are nontransferable. Internet compatible media player with available CorePower Live applications as specified by CorePower Yoga are required. CorePower Live classes are subject to normal Internet and application access and usage charges imposed by third parties.

4. Class Changes

A CorePower Live class for which a valid registration has been made may be changed by a participant only if a participant cancels the class registration on the CorePower YogaWebsite using the participant’s CorePower Yoga account before the scheduled start time for such class (cancellations after the scheduled start time for a class will not be recognized). If a purchased class is timely canceled by a participant, the participant will receive a CorePower Live class credit in the participant’s CorePower Yoga account which may be used to register for another available CorePower Live class. If notice of class cancellation is not timely sent, no CorePower Live class credit will be given. CorePower Live class credits have no cash value. CorePower Live credits are not awarded to CorePower Yoga members with free access (including All Access Program and At Home Program members).

Classes are live and not recorded, and CorePower Yoga reserves the right to cancel and reschedule classes for personnel, technical or other issues.

5. Termination

Upon termination of CorePower Live by CorePower Yoga, if a participant has an unexpired CorePower Live class credit in the participant’s CorePower Live account as of the effective date of termination of the program, CorePower Yoga reserves the right (but does not have the obligation) to convert any or all such credits to CorePower Yoga in-studio yoga class credits, at its discretion. Any such credits will not be transferrable and have no cash value.

6. Third Party Providers

CorePower Live classes are currently delivered by Zoom Video Communications, Inc. (“Zoom”), which is a third party that provides the Zoom application to CorePower Yoga. CorePower Yoga is not responsible or liable for any aspect of the Zoom application, or the operation or use thereof. See www.zoom.us for information regarding Zoom and the Zoom application. CorePower Yoga is not a party to any user agreement or terms and conditions between a participant and Zoom, including, without limitation, any Zoom privacy policy or Zoom terms of use, all of which are accepted by a participant prior to using Zoom. Zoom is solely responsible for all matters regarding the Zoom application, including, without limitation, application functionality, Zoom terms of service, and any claims that you may have related to the Zoom application or the operation or use thereof. CorePower Yoga reserves the right to change technology platforms from time to time without notice, and the foregoing shall apply to such substitute technology provider and platform substituting such provider’s name.

Use of the CorePower Live Website is subject to CorePower Yoga’s privacy policy located at https://www.corepoweryoga.com/content/privacy-policy and these Student Terms & Conditions.

Yoga On Demand is a program of CorePower Yoga. Yoga On Demand offers CorePower Yoga members and Yoga On Demand members the opportunity to participate in prerecorded, on demand, online video CorePower Yoga classes. The terms and conditions of the Yoga On Demand program (the “Yoga On Demand Terms”) are as follows:

1. Yoga On Demand Benefit for All Access and At Home Program Members

All Access Program members and At Home Program members in good standing will have unlimited access to Yoga On Demand during the terms of their respective memberships. Members can access Yoga On Demand through CorePower Yoga’s website or CorePower Yoga’s MobileApp. Individuals who are not an All Access Program or At Home Program member may separately register for Yoga On Demand by downloading the CorePower Yoga On Demand MobileApp and following the instructions to create a Yoga On Demand account and purchase a monthly Yoga On Demand subscription. If you are not an All Access Program or At Home Program Member and wish to purchase a Yoga on Demand subscription, provide all required information and consents, including a valid email address, complete or acknowledge a participant liability release, and any other forms, terms and conditions required by CorePower Yoga, and complete or acknowledge any additional forms, terms and conditions provided by CorePower Yoga’s third-party service provider. Currently due to the requirements of the third party provider for Yoga on Demand, a participant must be at least sixteen (16) years old to have a Yoga On Demand account and participate in Yoga On Demand.

2. Subscription Purchases

Separate purchases may be of monthly subscriptions to the Yoga on Demand online, on demand video library. Purchases and associated payments must be made through the CorePower Yoga On Demand MobileApp using a valid credit card; CorePower Yoga and/or CorePower Yoga Services LLC gift cards cannot be used to pay for Yoga On Demand subscriptions. Purchases are subject to applicable taxes and assessments. All purchases are nonrefundable unless otherwise required by applicable law. Yoga On Demand accounts and subscriptions are not transferrable and have no cash value. An Internet-compatible media player with available Yoga On Demand applications as specified by CorePower Yoga or its third party service provider are required. Use of Yoga on Demand is subject to normal Internet and application access and usage charges imposed by third parties. CorePower Yoga reserves the right to add, remove and modify available classes and content for any reason and at any time.

Yoga On Demand classes are currently delivered by Vimeo OTT Solutions, Inc. (“Vimeo”), which is a third party provider of the Vimeo online platform that allows Yoga on Demand users to view CorePower Yoga’s video programs. CorePower Yoga is not responsible or liable for any aspect of the Vimeo applications, or the operation or use thereof. See https://www.corepoweryogaondemand.com/tos for information regarding Vimeo and the Vimeo application. Vimeo also collects and processes payments for Yoga on Demand subscriptions. CorePower Yoga is not a party to any user agreement or terms and conditions between a participant and Vimeo, including, without limitation, any Vimeo privacy policy, Vimeo terms of use, or Vimeo payment and payment processing agreements, all of which are accepted by a participant prior to using Vimeo. III. ARBITRATION AGREEMENT AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND DISCOVERY PROCEDRUES AND APPELLATE RIGHTS ARE MORE LIMITED THAN IN COURT.

1. Disputes that Must be Arbitrated

This agreement to arbitrate applies to any Dispute between you and CorePower Yoga. “Dispute” means any dispute, claim, or controversy (excluding those exceptions listed below) between you and CorePower Yoga, whether based in contract, tort, statute, fraud, misrepresentation, or any other legal theory, that either of us seeks legal recourse for and that arises out of or in any way relates to your use or attempted use of the Activities, or the CorePower Yoga website or application (whether arising out of or relating to past, present, or future acts or omissions). Disputes that must be resolved by an arbitrator also include disputes over the validity, enforceability, or scope of this agreement to arbitrate or any portion of it.

The exceptions to this arbitration requirement are: (i) claims that can be brought as individual actions in small-claims court; (ii) pursuit of enforcement actions through a government agency if the law allows; (iii) an action to compel or uphold any prior arbitration decision; (iv) your or our right to seek injunctive relief in a court of law to preserve the status quo while an arbitration proceeds; (v) claims of intellectual-property infringement; (vi) the enforceability of the requirement that arbitrations must be conducted on an individual rather than a class basis; and (vii) certain roles expressly specified for courts in the terms below. Notwithstanding any other venue provision stated in these Terms of Use, we retain the right to bring legal proceedings in any jurisdiction where we believe that infringement of our intellectual property is taking place or originating.

2. Informal Resolution

If you have a Dispute against us or if we have a Dispute against you, we will attempt to resolve the Dispute informally before an arbitration is filed in order to resolve the Dispute faster and reduce costs for both parties. You and we will make a good-faith effort to negotiate the resolution of any Dispute for at least 30 days (“Informal Resolution”) from the day you or we receive a written notice of a dispute from the other party (a “Notice of Dispute”) in accordance with these Terms.

You must send any Notice of Dispute to the address for CorePower Yoga specified above, ATTN: NOTICE OF DISPUTE. We will send any Notice of Dispute to your registered email address and any address you have provided us. The Notice of Dispute sent by either party must include the sender’s name, address, and other contact information, a description of the Dispute (including any relevant account names), and what resolution to the Dispute is being sought.

The Notice requirement is designed to allow us (or you, in the case of a dispute we assert against you) to make a fair, fact-based offer of settlement if we or you choose to do so. You and we cannot proceed to arbitration unless this information has been provided. If you or we proceed to arbitration without providing a compliant Notice of Dispute, the sufficiency of a Notice of Dispute is an issue to be decided by a court. A court may enjoin the filing of an arbitration demand that has not been preceded by a compliant Notice of Dispute and may order a party that has filed an arbitration demand without having provided a compliant Notice to reimburse the other party for any arbitration fees and costs already incurred.

We hope you’ll try Informal Resolution first, and you must do so before commencing an arbitration, but you don’t have to before going to small-claims court.

3. Small Claims Court

You and we agree that disputes that qualify for small-claims court in either the county where you live or the United States may be brought as individual actions only in such small-claims courts. To the fullest extent allowed by applicable law, you and we agree to waive the right to trial by jury in a small claims court.

4. Binding Individual Arbitration

THE ARBITRATION PROCEEDINGS IN THIS SECTION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY. Under no circumstances do we consent to have any Disputes arbitrated using class action procedures, even if the arbitration provider has rules permitting class arbitrations.

You and we agree that Disputes will be resolved by binding individual arbitration conducted by JAMS, Inc. (“JAMS”), www.jamsadr.com, according to the United States Federal Arbitration Act (“FAA”) and federal arbitration law and according to the JAMS Streamlined Arbitration Rules and Procedures in effect at the time the Dispute arises (the “JAMS Rules”), as modified by these Terms.

Arbitration” means that Disputes between us will be resolved by a neutral arbitrator instead of in a court by a judge or jury.

Individual” means that the arbitrator may award the same remedies to you or to us as a court could, but only to satisfy your or our individual claims. To the fullest extent allowed by applicable law, the arbitrator may not award money or other relief for the benefit of any person other than you or us as part of the resolution of any Dispute.

Binding” means that both you and we will have to live with the arbitrator’s decision, except to the limited extent appeals to a court are permitted under the FAA. As limited by the FAA, these Terms, and the rules applicable to the arbitration, the arbitrator will have exclusive authority to make all procedural and substantive decisions regarding any Dispute and to grant any remedy that would otherwise be available in court, including the power to determine the question of arbitrability. The arbitrator will have authority to award temporary, interim, or permanent injunctive relief or relief providing for specific performance of these Terms, but (as provided above) only to the extent necessary to provide relief to a party in arbitration warranted by the individual claim before the arbitrator. The award rendered by the arbitrator may be confirmed and enforced in any court having jurisdiction.

5. Arbitration Procedure and Location

You or we may initiate arbitration of Disputes not resolved by Informal Resolution by filing a Demand for Arbitration with JAMS in accordance with the JAMS Rules. Instructions for filing a Demand with JAMS are available on the JAMS website or by calling JAMS at 1-800-352-5267. You must send any Demand for Arbitration to CorePower Yoga at the address specified above. We will send any Demand for Arbitration to the email address and to any physical address you have provided us.

The arbitration will be conducted by a single arbitrator. You and we both agree that the arbitration will be conducted in the English language and that the arbitrator will be bound by these Terms.

For Disputes in which the claimant seeks less than $10,000, the arbitrator will decide the matter solely on the basis of written submissions, without a formal hearing, unless the arbitrator decides that a formal hearing is necessary. For matters in which the claimant seeks $10,000 or more, or smaller matters in which the arbitrator determines a hearing to be necessary, hearings shall be conducted by video or telephone, unless the arbitrator determines an in-person hearing to be necessary. If an in-person hearing is required, and you reside in the United States, the hearing will take place in Denver, CO, Minneapolis, MN, Chicago, IL, New York City, NY, Los Angeles or San Francisco, CA, Atlanta, GA or Dallas, TX (whichever is closest to your residence), unless the arbitrator determines that this would pose a hardship for the claimant, in which case the in-person hearing may be conducted in the claimant’s state and county of residence. If you reside outside the United States, the site of any in-person hearing will be determined by the JAMS Rules.

The arbitrator (not a judge or jury) will resolve the Dispute. Unless you and we agree otherwise, any decision or award will include a written statement stating the decision of each claim and the basis for the award, including the arbitrator’s essential factual and legal findings and conclusions. The arbitrator will have the authority to grant motions dispositive of all or part of any Claim.

To the fullest extent allowed by applicable law, the arbitrator may only award legal or equitable remedies that are Individual to you or us to satisfy one of our Individual claims (that the arbitrator determines are supported by credible relevant evidence).

An arbitration award, and any judgment confirming it, apply only to that specific case; it cannot be used or offered as precedent in any other case except to enforce the award itself.

All aspects of the arbitration proceeding, including but not limited to, the award of the arbitrator and compliance therewith, will be strictly confidential. The parties agree to maintain confidentiality unless otherwise required by law. This paragraph will not prevent a party from submitting to a court of law any information necessary to enforce this Arbitration Agreement or to enforce an arbitration award.

Any decision or award may be enforced as a final judgment by any court of competent jurisdiction or, if applicable, application may be made to such court for judicial confirmation of any award and an order of enforcement.

6. Consumer Arbitration Fees

If you start an arbitration against us, you will pay the filing fee required for consumer arbitrations. If we start an arbitration against you, we will pay all filing fees, including the share that ordinarily would have been borne by you.

Arbitration costs do not include your attorneys’ fees and expenses if you choose to be represented by an attorney. If you choose to be represented by an attorney, you will pay your own attorneys’ fees and costs unless the applicable law provides otherwise. Nothing in this provision should be construed as preventing the arbitrator from awarding attorneys’ fees to the prevailing party if applicable law and the JAMS Rules permit such awards.

7. Notice and Filing

To the fullest extent permitted by applicable law, you or we must start arbitration of a Dispute within two (2) years from when the Dispute first arose. If applicable law requires you or us to bring a claim for a Dispute sooner than two years after the Dispute first arose, that shorter deadline applies instead. The failure to begin arbitration regarding a Dispute within the time frames described above in this section shall bar the Dispute, which means that to the fullest extent permitted by applicable law, you and we will not have the right to assert the Dispute.

8. Special Rules for Coordinated Filings

If 25 or more Disputes are initiated with the arbitrator that raise similar claims, and counsel for the claimants are the same or coordinated, these will be considered “Coordinated Cases” and the arbitration provider will treat them as such, including with respect to its fee schedule for mass arbitration filings. Applicable statutes of limitations will be tolled for all claimants once they have provided compliant Notices of Dispute to us, but demands for arbitration in Coordinated Cases shall only be filed with the arbitration provider as permitted by the bellwether process set forth below.

Once Notices of Dispute have been provided to us for Coordinated Cases, counsel for claimants and counsel for us shall confer in good faith regarding the number of cases that should proceed as bellwethers, to allow each side to test the merits of its arguments, before the remainder of claims may be filed with the arbitration provider. Any number chosen must be an even number so as to allow each side to designate half of the cases selected for bellwether trials. If counsel for claimants and for us do not agree on the number of bellwethers, the number shall be chosen by the arbitration provider as an administrative matter (or, in the arbitration provider’s discretion, by a process arbitrator). Factors that the arbitration provider may consider in making this decision include the complexity of the dispute and differences in facts or applicable laws among various claims. Once the number of bellwethers is fixed, by agreement or by the arbitration provider, each side shall each select half that number from among the claimants who have provided compliant Notices of Dispute, and only those chosen claims may be filed with the arbitration provider. You agree that if your case is among Coordinated Cases filed against us, resolution of your personal claim might be delayed by this bellwether process.

A single arbitrator shall preside over each Coordinated Case chosen for a bellwether proceeding, and only one Coordinated Case may be assigned to each arbitrator as part of a bellwether process unless the parties agree otherwise.

Once all bellwether trials have concluded (or sooner if the counsel for the claimants and us agree), the parties must engage in a single mediation of all remaining cases, with each side paying half the applicable mediation fee. Counsel for claimants and for us must agree on a mediator within 30 days after the conclusion of the last bellwether trial. If counsel for claimants and for us cannot agree on a mediator within 30 days, the arbitration provider will appoint a mediator as an administrative matter. Counsel for the claimants and for us will cooperate for the purpose of ensuring that the mediation is scheduled as quickly as practicable after the mediator is appointed.

If the mediation does not yield a global resolution, this arbitration requirement shall no longer apply to claimants in Coordinated Cases who provided compliant Notices of Dispute but whose claims were not resolved in bellwether proceedings. Their cases may be filed only in the state courts in Denver, Colorado, or if federal jurisdiction exists, in the United States District Court for the District of Colorado, and you consent as part of these Terms to venue such cases exclusively in these courts. Nothing in this paragraph shall be construed as prohibiting either you or us from removing a case from state to federal court if removal is allowed under applicable law. To the extent you are asserting the same claims as other persons and are represented by common or coordinated counsel, you agree to waive any objection that the joinder of all such persons is impracticable. If a formerly arbitrable Dispute is brought in court, claimants may seek class treatment, but to the fullest extent allowed by applicable law, the classes sought may comprise only the claimants in the Coordinated Cases who provided compliant Notices of Dispute, and we reserve the right to contest class certification at any stage of the litigation and on any available basis.

A court shall have authority to enforce this bellwether process and may enjoin the filing of lawsuits or arbitration demands not made in compliance with it.

IV. MISCELLANEOUS

No Assignment

These Student Terms & Conditions are not assignable, transferable, or sublicensable by you except with the prior written consent of a duly authorized CorePower Yoga employee.

Waiver

CorePower Yoga’s failure at any time to require performance of any provision of these Student Terms and Conditions or to exercise any right provided for herein will not be deemed a waiver of such provision or such right. All waivers must be in writing. Unless the written waiver contains an express statement to the contrary, no waiver by CorePower Yoga or any breach of any provision of these Student Terms & Conditions or of any right provided for herein will be construed as a waiver of any continuing or succeeding breach of such provision, a waiver of the provision itself, or a waiver of any right under these Student Terms & Conditions

Severability

If any provision of these Student Terms & Conditions is held by a court of competent jurisdiction to be contrary to law, such provision will be changed and interpreted so as to best accomplish the objectives of the original provision to the fullest extent allowed by law and the remaining provisions of these Student Terms & Conditions will remain in full force and effect.

Governing Law

These Student Terms & Conditions will be governed by and construed in accordance with the internal laws of the State of Colorado without giving effect to any choice or conflict of law provision or rule. For any dispute that is not subject to the Arbitration Agreement herein, the parties hereby submit to and consent to the jurisdiction of the State of Colorado and agree that such litigation shall be conducted in state or federal court in the City and County of Denver, Colorado. You hereby irrevocably consent and submit to the personal jurisdiction of said courts for all such purposes. However, we retain the right to bring legal proceedings in any jurisdiction where we believe that infringement of these Student Terms & Conditions is taking place or originating.

Entire Agreement

These Student Terms & Conditions (together with the CorePower Yoga Terms of Use, CorePower Yoga Privacy Policy, and CorePower Yoga Messaging Terms & Conditions) contain the entire understanding and agreement between you and CorePower Yoga with respect to the Services and supersede all previous communications, negotiations, and agreements, whether oral, written, or electronic, between you and CorePower Yoga with respect to the Services and your use of this Site.
